Managed Service Fees. 7.1 As soon as the Order Form has been executed or Hexarad have invoiced with regard to the Order Form, the Organisation shall pay to Hexarad the Managed Service Fees as specified on the Order Form. 7.2 The Organisation shall pay the Managed Service Fees in accordance with Clause 2 and such Managed Service Fees shall be rendered annually in advance or as otherwise set out and agreed on the Order Form. 7.3 The Organisation shall pay all costs (at ▇▇▇▇▇▇▇’s then prevailing rates) and reasonable expenses incurred by Hexarad for work carried out by Hexarad in connection with any fault or services which are not covered by this Agreement. 7.4 The Managed Service Fees do not include provision for reasonable travel or subsistence expenses and Hexarad reserves the right to charge separately for these items at its standard rates. The number, duration and timing of required onsite visits will be mutually agreed in Organisation, including business class flights, hotels, subsistence costs and any other reasonable costs associated with onsite visits. 7.5 The Organisation may purchase additional Software modules, Services and/or user subscriptions, during the Term of this Agreement, to be evidenced by an additional Order Form and such further terms and conditions as Hexarad may specify, and upon the acceptance by Hexarad of such Order Form, the same (including any such further terms and conditions) shall be incorporated into this Agreement, and (for the avoidance of doubt) the expiry of the Term for the provision of such additional modules shall be as set out in this Agreement. If there is a conflict between such further terms and this Agreement, this Agreement will take precedence. If the Organisation has agreed to purchase Consultancy Services the details of and charges for those Consultancy Services will be set out in Schedule 13 or the Order Form. Payment will be required within 30 days of the invoice being sent by ▇▇▇▇▇▇▇. 7.6 If additional user subscriptions are required part way through the Initial Subscription Term or any Renewal Period (as applicable), such fees shall be pro-rated from the date of activation by Hexarad for the remainder of the Initial Subscription Term or then current Renewal Period (as applicable).Fees will need to be paid upfront before additional users are activated. 7.7 During the Term the Managed Service Fees will not be increased for the Managed Service Fees set out on the Order Form but Hexarad shall have the option to increase the Licenc...
Managed Service Fees. The Managed Service Fees payable by Ford to Vastera shall be as follows: July 1, 2002 - December 31, 2002 $ 4,891,976 $ 815,329.33 January 1, 2003 - December 31, 2003 $ 11,800,000 $ 983,333.33 All remaining years of the Term thereafter $ 11,800,000 $ 983,333.33 The parties agree that if there is a material change in Ford’s business levels and such changed business levels result in a change to Vastera’s costs of performing the Services hereunder, the parties shall meet to mutually agree upon an equitable level of change to the Managed Service Fees on a going forward basis. Vastera also agrees to identify material changes in operating efficiencies separate from business levels and, to the extent such operating efficiencies result in a material reduction of Vastera’s cost of performing the services hereunder, the parties agree to negotiate an equitable change to the Managed Service Fees.” Schedule G. No increase in charges may take effect less than 12 months from the date of installation of the first server. 3.14.2.3 The Supplier may at any time increase the basic annual Managed Service fees for the backup solution, where the data volumes exceed those which the University has provided. 3.14.2.4 The annual Managed Service fee is based on standard remote access being available for Supplier access and for backup purposes. Should the University require remote access using anything other than Supplier standard access protocols, the Supplier may need to charge additional fees. A copy of the Supplier’s standard access protocol is available on request.
Managed Service Fees. All Hosting Orders shall be invoiced on a prepaid, monthly basis and sent to Client [***] days prior to the end of the preceding calendar month.   • Administrative Support Service Fees Within forty-five (45) days of the end of each calendar quarter, the Fund will make payments in the aggregate amount of 0.0625% (0.25% on an annual basis) of the average during that calendar quarter of the aggregate net asset value of the Shares computed as of the close of each business day (the "Service Fee"). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Service Fee In consideration of the administrative support services provided by a Recipient, the Distributor shall make service fee payments to that Recipient quarterly or at such other interval as deemed appropriate by the Distributor, within forty-five (45) days of the end of each calendar quarter or other period, at a rate not to exceed 0.25% on an annual basis of the average during the period of the aggregate net asset value of Shares, computed as of the close of each business day, constituting Qualified Holdings owned beneficially or of record by the Recipient or by its Customers for a period of more than the minimum period (the “Minimum Holding Period”), if any, that may be set from time to time by a majority of the Independent Trustees. Alternatively, the Distributor may, at its sole option, make the following service fee payments to any Recipient, within forty-five (45) days of the end of each calendar quarter or at such other interval as deemed appropriate by the Distributor: (i) “Advance Service Fee Payments” at a rate not to exceed 0.25% of the average during the calendar quarter or other period of the aggregate net asset value of Shares, computed as of the close of business on the day such Shares are sold, constituting Qualified Holdings, sold by the Recipient during that period and owned beneficially or of record by the Recipient or by its Customers, plus (ii) service fee payments at a rate not to exceed 0.25% on an annual basis of the average during the period of the aggregate net asset value of Shares, computed as of the close of each business day, constituting Qualified Holdings owned beneficially or of record by the Recipient or by its Customers for a period of more than one (1) year. In the event Shares are redeemed less than one year after the date such Shares were sold, the Recipient is obligated to and will repay the Distributor on demand a pro rata portion of such Advance Service Fee Payments, based on the ratio of the time such Shares were held to one (1) year. The administrative support services to be rendered by Recipients in connection with the Accounts may include, but shall not be limited to, the following: answering routine inquiries concerning the Fund, assisting in the establishment and maintenance of accounts or sub-accounts in the Fund and processing Share redemption transactions, making the Fund’s investment plans and dividend payment options available, and providing such other information and services in connection with the rendering of personal services and/or the maintenance of Accounts, as the Distributor or the Fund may reasonably request.

  • Services Fees The Fees are stated on the Stripe Pricing Page, unless you and Stripe otherwise agree in writing. Stripe may revise the Fees at any time. If Stripe revises the Fees for a Service that you are currently using, Stripe will notify you at least 30 days (or a longer period if Law requires) before the revised Fees apply to you.
