Nominations and Scheduling. 6.1 The Company and Supplier, pursuant to the Terms and Conditions on file with the MDPU and the terms of the Agreement, agree to exchange and act on information regarding the nomination and scheduling of gas for transportation on behalf of Supplier’s customers. 6.2 Supplier acknowledges and agrees that its transportation rights under the Agreement are solely those that have been assigned to it by the Customer pursuant to the Terms and Conditions. Supplier further agrees that the Company shall have no obligation to honor any nomination or scheduling request from Supplier that, in the Company’s sole judgment, exceeds the scope of Supplier’s assigned rights or where such nominations or requests could be reasonably refused, directly or indirectly, based on the terms of the Agreement or the Terms and Conditions. 6.3 Pursuant to Sections 11.3.2 and 12.3.3 of the Company’s Terms and Conditions, nominations will be communicated to the Company in accordance with the terms of the Agreement as set forth in Exhibit A. 6.4 Pursuant to Sections 11.3.6 and 12.3.6 of the Company’s Terms and Conditions, in the event of a discrepancy between the volume nominated to the Company by Supplier and the volume confirmed by the Company, the discrepancy shall be allocated between and among Supplier’s Aggregation Pools and/or customers in accordance with the predetermined allocation method set forth in Exhibit B, attached hereto. In the event that the Supplier has not provided the Company with a predetermined allocation method, the discrepancy will be allocated consistent with the provisions of the Company’s Terms and Conditions.
Nominations and Scheduling. The Terminal is a shared-use facility and has limited capacity at any one time to take delivery of crude oil by railcars. Accordingly, the Company will use commercially reasonable efforts to deliver crude oil on a ratable basis and to coordinate with the Operator the arrival of unit trains for unloading, and the Operator will require the other users to do the same. The Company will coordinate with the Operator and keep the Operator apprised of the arrival of unit trains delivering the Company’s crude oil to the Terminal. The Company will keep the Operator apprised of volumes of crude oil that the Company nominates for transportation and delivery to the Terminal by rail.
Nominations and Scheduling. Shipper shall provide Carrier with a written nomination and schedule for shipments in accordance with the Rules and Regulations Tariff.
Nominations and Scheduling. 7.01 Each Gas Day under this Agreement, Shipper shall submit receipt and delivery nominations of Gas, and Gatherer shall confirm such nominations, according to the nomination provisions set forth below. Shipper shall: a. Nominate to Gatherer by facsimile or via electronic mail at least twenty-four (24) hours before ten o'clock a.m., Central Standard Time, of the Day on which Shipper desires Gathering Services. Gatherer shall have no obligation to gather Gas for Shipper under this Agreement if Shipper's notice (nomination) is not received timely. Nominations for mid-month changes will be taken by exception only, submitting only those records that are being revised. Additionally, nominations will be taken Monday through Friday eight o'clock a.m. until five o'clock p.m., Central Standard Time with weekend changes only being accepted when the interconnecting pipeline has a change in the mainline nomination. b. Include in the nomination the quantity of Gas to be received by Gatherer including Shipper's Total Thermal Energy Content, and FL&U reimbursement quantities at each specified Receipt Point(s), and the quantity to be delivery by Gatherer at each specified Delivery Point(s) for the Day(s) Gathering Service is requested. The total Receipt Point(s) nominations less FL&U must equal the equivalent Total Thermal Energy Content of the Delivery Point(s) nominations. If a predetermined allocation method is relied upon by Shipper for its Delivery Point(s) nominations, then Shipper shall so indicate in its nomination. c. If Gatherer does not have the capacity to accept and/or deliver the requested quantities of Gas beyond Shipper's MDQ the following Day, Gatherer shall provide such notice to Shipper via facsimile or via electronic mail by five o'clock p.m., Central Standard Time. d. For service to begin on the first, second or third Day of the Month, nominations must be submitted to Gatherer by ten o'clock a.m., Central Standard Time, by facsimile or via electronic mail four (4) working Days prior to the first Day of the Month. Shipper confirmations shall be sent out at the beginning of the Month and then only when a change in nomination(s) occurs. Shipper has the option of receiving the confirmation by facsimile or via electronic mail. e. Provide the associated contract numbers for the downstream parties, if known. f. Nominations and Scheduling. Citi hereby appoints DKTS as its agent for purposes of all scheduling and nominations, including without limitation any pipeline or terminal nominations, with respect to Crude Oil and Products arriving at or into and while contained within any Included Location. DKTS accepts such appointment and agrees that it shall or shall cause one or more of its Affiliates to perform all such scheduling and nomination functions during the Term of this Agreement. In performing such scheduling and nomination functions, including those set forth on the Scheduling and Communications Protocol attached hereto as Schedule L, DKTS shall do so (and shall cause its applicable Affiliates to do so) in accordance with generally accepted industry standards. With respect to (i) all Crude Oil that DKTS intends to deliver to Citi at any Crude Intake Point and (ii) all Products to be delivered to DKTS at the Products Offtake Point, DKTS shall make all nominations and perform all scheduling functions with the relevant pipeline or terminal operators. Citi shall at all times maintain shipper status on each of the Included Crude Pipelines, Included Product Pipelines and other Included Locations on which Crude Oil or Products, as applicable, may be shipped during the Term of the Agreement. In connection with all nominations and scheduling activities, both DKTS and Citi shall comply with the Scheduling and Communications Protocol. Upon the occurrence and during the continuance of an Event of Default, or as otherwise agreed between Citi and DKTS, Citi shall have the right to revoke the foregoing agency appointment.
Nominations and Scheduling. Subject to the terms and conditions of Annexes B and C, subsections (b) through (g) below and the physical constraints of the Berths, Operator shall provide Customer’s Marine Vessels non-discriminatory, priority access rights to access the Berths to throughput Customer’s Products. All nominations for delivery of crude oil to the Terminal must be accompanied by a corresponding and reasonable tank availability schedule for prompt transfer of such crude oil into storage tanks. The Company will provide to the Operator each Wednesday throughout the Term an updated forecast for the following week with respect to the Company’s then-current Nomination. The following specifications reflect the Operator’s minimum railcar requirements, which are not intended to replace original manufacturer requirements or other basic industry regulations or specifications. Railcar variations that are outside of these specifications must be approved by the Operator in advance of arrival of the unit train and, if accepted by the Operator, may require the Operator to break the unit train at additional points at the Company’s sole cost and expense. Nominations and Scheduling. (a) No later than three (3) Business Days prior to applicable forecast or information reporting requirement deadlines prescribed by the Crude Oil Logistics Committee (▇▇▇.▇▇▇▇▇▇▇.▇▇▇) for each month, USD will notify ▇▇▇▇▇▇ of the proposed schedule of Product shipments to the Rail Terminal beginning on the 1st day of the following month and shall request its Customer to also notify ▇▇▇▇▇▇ of its nomination from the ▇▇▇▇▇▇ Terminal for the movements of Product from the ▇▇▇▇▇▇ Terminal to the Rail Terminal for such month. USD will also immediately notify ▇▇▇▇▇▇ (and will cause its Customer to notify ▇▇▇▇▇▇) of any revision to the initial scheduled volume which was communicated to ▇▇▇▇▇▇ the previous month. (b) Nomination notices shall include: (i) the period during which deliveries will need to be made; (ii) grade and quantity of Product to be delivered; (iii) estimated time of commencement of each delivery; (iv) a USD contact and phone number; and (v) the name of the Customer.
