Operations Manuals. We will loan to you during the term of this Agreement one copy of our store operating standards manual and one copy of our products procedures manual (collectively, the "Operations Manuals"). We have the right, at our option, to furnish or make available to you the Operations Manuals in the form of paper copies, electronic copies on computer diskette or CD Rom, or electronic copies accessed through the Internet or other communication systems. The Operations Manuals contain mandatory and suggested specifications, standards and operating procedures, including System Standards that we prescribe for Pretzel Time Stores and contain information relating to your other obligations under this Agreement. We have the right to modify the Operations Manuals in the future to reflect changes in the image, specifications, standards, procedures, Pretzel Time Products, Pretzel Time System, and System Standards. You may not at any time copy any part of the Operations Manuals, either physically or electronically. If your copy of the Operations Manuals is lost, destroyed or significantly damaged, you will be obligated to obtain from us, at our then applicable charge, a replacement copy of the Operations Manuals.
Operations Manuals. 9.1 Franchisee shall treat the Manuals, the Bagel Production Manual, any other manuals approved by Franchisor for use in connection with the Bakery, and all information contained therein as confidential, and shall maintain such information in strict secrecy. Franchisee shall not copy, duplicate, record, or otherwise reproduce the foregoing materials, in whole or in part, or otherwise make them available to any unauthorized person, except as required by law.

Operations Manuals. The Recipient shall carry out the Project in accordance with the arrangements and procedures set out in the Operations Manuals (provided, however, that in case of any conflict between the arrangements and procedures set out in the Operations Manuals and the provisions of this Agreement, the provisions of this Agreement shall prevail) and, except as the Association shall otherwise agree, shall not amend, abrogate or waive any provision of any of the Operations Manuals, if such amendment, abrogation or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.
Operations Manuals carry out the Project in accordance with the procedures set forth in the Program OM and the Country OM, and except as the Bank shall otherwise agree, shall not amend or waive any provisions thereof if such amendment or waiver, may in the opinion of the Bank, materially or adversely affect the implementation of the Project.
Operations Manuals. Franchisor shall loan to Master Franchisee or provide access to a copy of its Operations Manual for the development and operation of the PLANET BEACH® business used in the United States (or, at the option of Franchisor, a country with a language or culture that is the same as or similar to the language or culture of the Development Area). Franchisor agrees to consider such proposed modifications in good faith and to notify Master Franchisee in writing of Franchisor’s acceptance or rejection of such modifications, specifying the reasons for any rejections. Modifications to the System and System Standards shall be reflected in the Operations Manuals for the Development Area. If necessary, Master Franchisee shall cause the Operations Manual to be translated into the principal commercial language of the Development Area at a time to be determined or approved by Franchisor. The cost of such translation shall be borne by the Master Franchisee. Master Franchisee acknowledges that the Operations Manual, the copyright therein, and any translations thereof, shall be the property of Franchisor and agrees to assign any copyright interest it may otherwise have to Franchisor. Prior to having any persons (whether employees or independent parties) translate any materials, Master Licensee must enter into a binding written agreement with such persons sufficient to transfer to Franchisor (either directly or through Master Franchisee) all intellectual property rights in or to such translations, to waive any moral rights that such person may have in or to such translations, and to maintain the confidentiality of the Operations Manual and its translation. Any translation of the Operations Manual shall be subject to the confidentiality and other provisions of this Agreement applicable to the Operations Manual. Except for providing access to one (1) copy of the Operations Manual to each Unit Franchisee and Area Representative Franchisee, Master Franchisee agrees that it will not copy or disclose any part of the Operations Manual to any Person other than its employees who have a need to know the contents of the Operations Manual.
Operations Manuals. Seller shall deliver to District one bound original publication of applicable operations and maintenance manual for the goods. The manual shall contain all information necessary to operate, maintain and repair the goods, including drawings and piping diagrams. Seller shall deliver the manual no later than the 30 days after final testing and acceptance.

Developer shall keep its copy of the Manuals current by immediately inserting all modified pages furnished by Franchisor. In the event of a dispute about the contents of the Manuals, the master copies maintained by Franchisor at its principal office shall be controlling. Developer may not at any time copy any part of the Manuals.
