Participant Status. In connection with each Order to purchase or redeem Shares directly with the Trust at their NAV, the Participant shall be deemed to repeat and affirm each of the covenants, representations and warranties made by Participant in Section 6 hereof.
Participant Status. The Participant represents and warrants that, as of the date hereof, the Participant is an officer, employee, director or Consultant of the Company or a Subsidiary.
Participant Status. 1. Entry Level: this category includes employees in their first year of service in any new position, including lateral transfers.
Participant Status. Small Water System Providers and Individual Water Providers are eligible to be Participants in the Authority. Participants may be charged fair and equitable costs or fees by the Board. Participants may enter into agreements with the Authority regarding interest, right, or title in or to any assets or equity of the Authority. The Board may promulgate additional rules and regulations regarding procedures for reviewing Participant petitions. (i) Individual Water Providers are Participants. They may request to withdraw from the Authority by following the procedure established by this Agreement. (ii) Small Water System Providers may become a Participant by submitting a petition and a signed Participation Agreement to the Board. Admission of Participants shall be at the Board’s sole discretion. Admission shall be granted when a majority of the duly elected Directors vote to admit an applicant.
Participant Status a. CDS is responsible for verifying a person's status as a Participant under a Plan in accordance with BPA procedures communicated to CDS by BPA. BPA shall maintain updated Participant status files and shall verify Participant status by telephone during regular business hours. b. If an individual is no longer a Participant, it is BPA's responsibility to inform CDS of such individual's change in status not less than 30 days prior to the effective date of such a change.
Participant Status. Each of the provisions of the WSCC Reliability Criteria Agreement is hereby incorporated by reference into this Article IX as though fully set forth herein, and Generator shall for all purposes be considered a “Participant,” as defined in the WSCC Reliability Agreement, and shall be entitled to all of the rights and privileges and subject to all of the obligations of a Participant under and in connection with the WSCC Reliability Criteria Agreement, including the rights, privileges, and obligations set forth in Sections 5, 6, and 10 of the WSCC Reliability Criteria Agreement.
Participant Status. While Seller remains a NEPOOL Participant during the Term of this Agreement, Buyer shall (1) remain a NEPOOL Participant, or (2) make appropriate arrangements with an entity that is a NEPOOL Participant in order to account for Buyer's Entitlement Percentage, or (3) become a party to appropriate interchange arrangements with NEPOOL. ARTICLE EIGHT FORCE MAJEURE 8.1 FORCE MAJEURE DEFINITION. As used in this Agreement, "Force Majeure" means an event or circumstances which prevents one party from performing its obligations under this Agreement, which event or circumstances is not within the reasonable control of, and not caused by the negligence of, the Party claiming Force Majeure (the "Claiming Party"), and which, by the exercise of Good Utility Practice, the Claiming Party is unable to overcome or avoid or cause to be avoided. Consistent with the above, Force Majeure includes, without limitation, sabotage, strikes or other labor difficulties, riots or civil disturbance, acts of God, act of public enemy, drought, earthquake, flood, explosion, fire, lightening, landslide, or similarly cataclysmic occurrence, or appropriation or diversion of electricity by sale or binding order of any court or governmental authority having jurisdiction thereof (so long as the Claiming Party has not applied for or assisted in the application for such Court or government action), or any other cause, whether of the kind herein enumerated, or otherwise. Force Majeure shall not include (i) the loss of Buyer's markets; or (ii) Buyer's inability economically to use or resell the Product purchased hereunder. The settlement of strikes, walkouts, lockouts, and other labor disputes shall be entirely within the discretion of the Party involved, and such Party may make settlement at such time and on such terms and conditions as it may deem to be advisable; provided, however, that Seller shall use all reasonable efforts to keep the Facilities operational during such labor disputes or strikes. Interruption by a Transmission Provider shall not be deemed to be an event of Force Majeure unless (i) the Party contracting with such Transmission Provider shall have made arrangements with such Transmission Provider for the firm transmission, as defined under the Transmission Provider's tariff, of the Product to be delivered or received hereunder and (ii) such interruption is due to "force majeure" or "uncontrollable force" or a similar term as defined under the Transmission Provider's tariff.
Participant Status. For purposes of this Section 2.02(B)(2), an Employee or Contractor is eligible to participate in the Plan at any time during which, under the Plan terms and without further amendment or action by the Employer, the Employee or Contractor is eligible to accrue Deferred Compensation under the Plan (other than Earnings on prior Deferred Compensation), even if the Employee or Contractor has elected not to accrue any such Deferred Compensation (or has made no election).
Participant Status. Individual Participants may also be a member of a team. The Participant must enter the relay exchange zone and must do the exchange only there, even if this adds additional time to their individual time. Individual Participants may only be part of up to two relay teams and must pay the entry fee twice. At the Balaton Supermarathon event, the 4-day individual Participant may be the first runner of up to two teams: the first one is complementary, but the Participant must pay an entry fee for being part of the second team.
