PERFORMANCE BY EMPLOYEE Clause Samples

The "Performance by Employee" clause defines the expectations and obligations regarding how an employee must carry out their duties under an employment agreement. PERFORMANCE BY EMPLOYEE. During the Employment Period, the Employee shall devote all of his business time, attention, knowledge and skills to, and use his best efforts to perform, the Services and shall promote the interests of the Employer in carrying out the Services. Other than the restrictions contained in Sections 5 and 6 of this Agreement, nothing herein shall be deemed to preclude the Employee from continuing to serve on the board of directors of any business corporation or any charitable organization on which he now serves or, subject to the prior approval of the Board, from accepting appointment to additional boards of directors, provided that such activities do not materially interfere with the performance of Employee's duties hereunder.
PERFORMANCE BY EMPLOYEE. Nothing contained herein shall operate as a waiver or an election of remedies by Company should Employee fail to perform any duty or obligation imposed upon him hereunder. Notwithstanding anything contained herein to the contrary, this Agreement and the duties and obligations of Employee hereunder shall continue in full force and effect irrespective of any violation of any term or provision of this Agreement by Employee.
PERFORMANCE BY EMPLOYEE. Employee acknowledges and agrees that the value of the Confidential Information and the success and long-term viability of Company depends largely upon Employee's performance of his obligation under Sections 10, 11 and 12 of this Agreement.
PERFORMANCE BY EMPLOYEE. The Employee covenants and agrees that he will at all times faithfully and industriously perform his duties under this Agreement.
PERFORMANCE BY EMPLOYEE. Except as may be otherwise directed or approved by Employer from time to time, during the period of employment under this Agreement, Employee shall devote his full time and efforts to the business and affairs of Employer and shall perform his duties competently and efficiently. Employee agrees that during the period of his employment under this Agreement he will not undertake any outside business affiliations without the prior written approval of Employer. Employee may engage in such personal investment activities during the term of this Agreement as Employee deems appropriate and consistent with Employee's position hereunder so long as such activities do not materially interfere with the performance of Employee's duties under this Agreement and are not in contravention of this Agreement.
PERFORMANCE BY EMPLOYEE. Except as otherwise may be directed or approved by Employer from time to time, during the period of employment under this Agreement, Employee shall perform Employee's duties competently and efficiently and shall dedicate the amount of time and efforts necessary to perform in such manner. The Agreement does not restrict Employee from continuing his consulting practice as an advisor and a member of the board of directors of other companies, his work with ASU or civic activities during the term of this Agreement.
PERFORMANCE BY EMPLOYEE. Employee agrees and acknowledges that each of Employee’s promises and obligations as set forth in this Agreement is a material term with which Employee must strictly comply. Employee further agrees that, in the event Employee fails to comply with any of the promises or obligations contained herein, Whitehall, in addition to such other and further remedies to which it may be entitled as a matter of law, may cease making the payments to Employee provided for in Section 3 above, and Employee shall immediately return any and all payments already made to Employee or to persons on Employee’s behalf under this Agreement.
PERFORMANCE BY EMPLOYEE. (a) During the Employment Period, the Employee shall devote all of his business time, attention, knowledge and skills to, and use his best efforts to perform the Services and shall promote the interests of the Employer in carrying out the Services. (b) Except for the activities described on Annex A, the Employee shall not engage in any professional full-time or part-time activities, whether or not remunerated, without the prior written consent of the CEO of the Employer. Employee's role in the activities listed on Annex A shall in no way interfere with Employee's performance as described in Section 2(a). 2 The Employee shall not engage in any other full-time or part-time activities, including the activities described on Annex A, that involve the use of the Employer's infrastructure or personnel, without the prior written consent of the CEO of Paytrust. Notwithstanding the foregoing, the Employee may make personal investments in other businesses, as long as those investments do not require the Employee to participate in the operation of the companies in which the Employee invests or otherwise materially interfere with the Employee's employment under this Agreement.
PERFORMANCE BY EMPLOYEE. The Employee agrees to perform faithfully, industriously, and to the best of the Employee's ability, experience and talents, all of the duties that may be required by the express and implicit terms of this Agreement, to the reasonable satisfaction of the Company. Such duties shall be provided at such place(s) as the needs, business or opportunities of the Company require from time to time. The Employee shall provide the Company with all information regarding its business.
