PHASE THREE. Phase Three will involve development of a fiscal framework that will recognize and address the needs and challenges facing all Parties. The Parties will make best efforts to complete this work by the spring of 2016.
PHASE THREE. A fireman who is not able to successfully complete a territorial examination and skills performance check ride given at the completion of the maximum time allowed for Phase Two trips as set forth in B.2., this Article, will enter Phase Three of main-line trips. Said fireman will be notified in writing, with a copy to the Local Chairman, UTU-E, prior to entry into Phase Three. Phase three trips will consist of not less than 30, and not more than 60, days of additional qualification trips over the territory in which the fireman is expected to pass a territorial exam and skills performance check ride. After completion of the third phase, the fireman will be given a territorial examination and a skills performance check ride which will include a company officer other than the officer who administered the final Phase Two check ride to the employee, the satisfactory completion of which will result in the fireman being promoted to locomotive engineer and receiving a certificate and qualification as a train service engineer. C.1. Firemen who are off for a period of more than 30 consecutive days during Phase Two shall, upon their return to service, have their Phase Two time period extended by not less than the number of days missed or not less than the duration absent (whichever is greater) to a maximum of the standard Phase Two time for the District. C.2. Failure to satisfactorily complete hostling training as set forth in Section A.3. of Article II, the midterm examination in Section B. I of Article II or Phase Three student engineer training as set forth in Section B.3 of Article II; or failure to satisfactorily pass the required examinations or the final skills performance simulator exam in B.1.5 of Article II with a score of not less than 85%, after the second attempt during the classroom and simulator training set forth in this agreement, will result in the Fireman's release from the training program. Upon release from the training program, any FRA certification obtained pursuant to this agreement shall be considered invalid and the employee will forfeit any certificate associated therewith.
PHASE THREE. Residential and Commercial Development, Hotel, Third Railroad Crossing and Open Space. The elements of Phase Three are described in Figure 3 of the Phasing Plan diagram, Attachment 1 to this Exhibit. Development in Phase Three includes a hotel, up to a total of 350 residential units on Blocks 3, 6, 9 and 19 22. The improvements in Phase Three include a third railroad crossing and associated fencing and flood gates for pedestrian and bicycle use, as shown on the Phasing Plan Diagram and as described in the Development Plan. Such facilities shall be constructed in conjunction with the construction of Block P5 and P7. Improvements to associated Open Space shall be provided as described in Section 3, above. Concurrent with Phase Three or Phase Four, or subsequently, development may occur within the Industrial Zoning District on the Eastern Parcel, subject to all applicable Local Agency requirements for that zone, of up to ninety thousand (90,000) gsf of office space and seventy-five thousand (75,000) gsf of warehouse/R&D development. Development within the Industrial Zoning District is not tied to any Phase, and is subject to completion of applicable soil remediation and site grading.

Cal-Portland will release funding for implementation of the creek restoration plan, upon Cal- Portland receiving all permits and approvals to mine the South parcel; permits and approvals for South Parcel mining become effective only when the permits and approvals are issued for the Creek Restoration plan. b. Cal-Portland has confirmed that they intend to begin South Parcel Mining as soon as they can acquire all necessary permits and meet the terms of the 2011 Agreement. c. It is the intent of the Core Group that implementation of the creek restoration plan will take place approximately the same time South Parcel mining begins, as anticipated by the 2011 Agreement which provides “mining of the South Parcel is intended to coincide with implementation of the Restoration Plan.” Currently, it is approximated that restoration implementation will begin in 2018 or early 2019, contingent upon agreement on a restoration plan by the non-governmental parties. d. After the implementation of the creek restoration plan, Cal-Portland will release agreed upon funding for maintenance of the completed restoration.
PHASE THREE. 100,000- USER MAGIC NETWORK DEPLOYMENT When General Magic makes a commitment, in its sole discretion, to deploy the Magic Network service, a Phase Three purchase order will be issued by General Magic to Nuance for the total number of Nuance voice recognition engine server software licenses required to support [**] users. This Phase Three purchase order, if any, for the applicable number of licenses as determined by General Magic, will be delivered to Nuance on or before December 31, 1997. Upon delivery of such Phase Three purchase order by General Magic to Nuance, such purchase order is non-cancelable and the license fees due thereunder are non-refundable. The total number of licenses is currently estimated at [**] but is subject to change by General Magic depending on trial results. At a minimum, General Magic will pay 25% of the total license fees due under the Phase Three purchase order on or before March 31, 1998 and will pay the remaining 75% of the license fees due under the Phase Three purchase order on or before June 30, 1998. The discount applied to server licenses ordered for the [**]-user system shall be [**]% off the then-current Nuance list price as of the date the Phase Three purchase order is placed.
