PLACEMENT PERIOD Clause Samples

The Placement Period clause defines the specific timeframe during which a party, typically an agent or underwriter, is authorized to offer and sell securities or other assets on behalf of the issuer. This period is usually set out in the agreement and may be subject to extension or early termination under certain conditions, such as reaching a sales target or regulatory requirements. The core function of this clause is to establish clear boundaries for marketing and sales activities, ensuring both parties understand when the offering can take place and helping to manage expectations and compliance with applicable laws.
