Processor’s Personnel. Processor shall ensure that its personnel engaged in the Processing of Personal Data are informed of the confidential nature of the Personal Data, have received appropriate training on their responsibilities, and have executed written confidentiality agreements. Processor shall ensure that such confidentiality obligations survive the termination of their respective employment relationship with such individuals.
Processor’s Personnel. The Processor will ensure that its employees authorised to process Personal Data have agreed to observe confidentiality by signing a contract. An obligation to observe confidentiality is only necessary if there are not already appropriate legal obligations of confidentiality.
Processor’s Personnel. The Processor shall ensure that persons authorised to process the Protected Data are under an obligation of confidentiality in respect of the Protected Data.
Processor’s Personnel. 3.1 The Processor shall ensure, including by way of suitable background checks and careful selection, instruction and monitoring, the reliability of any employee, or contractor of any Contracted Processor who may have access to the Event Data and/or Shared Personal Data. 3.2 The Processor shall, in particular, ensure in each case that access to the Event and/or Shared Personal Data is strictly limited to those individuals who need to know and/or have access to the relevant Event Data and/or Shared Personal Data, as strictly necessary for the purposes of the Underlying Agreement. 3.3 The Processor shall also ensure compliance by such individuals with the Data Protection Legislation and this Data Processing Agreement as well as that all such individuals are subject to appropriate confidentiality undertakings, in addition to professional or statutory obligations of confidentiality.
Processor’s Personnel. 8.1. The Processor shall take reasonable steps to ensure the reliability of any employee, agent or contractor of the Processor who is given access to the Personal Data. 8.2. The Processor shall ensure in each case that access is strictly limited to those individuals who need to know/have access to the relevant Personal Data, as strictly necessary for the purposes of the Terms & Conditions, and to comply with Applicable Laws in the context of that individual's duties to the Processor. 8.3. The Processor shall ensure that all such individuals are subject to confidentiality undertakings or professional or statutory obligations of confidentiality. The obligations of confidentiality will survive the termination of the personnel engagement.
Processor’s Personnel. Employees and contractors are trained on the Processor’s privacy and security policies and made aware of their responsibilities regarding privacy and security practices. The Processor’s employees and contractors are contractually bound to maintain the confidence of Controller’s Personal Data or confidential information and comply with applicable Processor’s policies, standards, or requirements in relation to the processing of Controller’s Personal Data. Failure to comply with those policies, standards or requirements will be subject to investigation which may result in disciplinary action up to and including termination of employment or engagement by the Processor. The Processor’s employees and contractors shall have access to Personal Data only on need- to-know basis in compliance with access rules stated in clause 2.1 and 2.2 above.
Processor’s Personnel. 5.1 PROCESSOR shall ensure that its personnel engaged in the processing of Personal Data is informed of the confidential nature of the Personal Data as well as any security obligations with respect to such Personal Data. 5.2 PROCESSOR will ensure that all persons authorized to process Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. 5.3 PROCESSOR shall ensure that access to Personal Data is limited to those personnel who require such access to perform the Services.

  • Contractor’s Personnel The Contractor shall employ only personnel who are appropriately qualified, skilled and experienced in their respective trades or occupations. The Authority may require the Contractor to remove any personnel engaged for the Works, who in the opinion of the Authority: (a) has engaged in any misconduct; (b) is incompetent or negligent in the performance of his duties; (c) fails to conform with any provisions of the Contract; (d) engages in any conduct which is prejudicial to safety, health, or the protection of the environment; or (e) makes errors in the discharge of his functions. If appropriate and required by the Employer, the Contractor shall then appoint (or cause to be appointed) a suitable replacement person.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence.
