Program and Services. The Program and Services are licensed and not sold to Customer. All intellectual property rights and all other rights, title and interest of any nature in and to the Program or Services, and any related content, Documentation and Services provided or made available by SafeBreach hereunder, and all modifications, upgrades, customizations enhancements, improvements, and derivative works thereof (all - whether created by SafeBreach, Customer or otherwise, and whether or not permitted under this Agreement), are and shall remain the exclusive property of SafeBreach and its licensors. Except as expressly set forth herein, nothing in this Agreement shall be construed as transferring any rights, title or interests to Customer or any third party. SafeBreach and its licensors reserve any and all rights not expressly granted in this Agreement.
Program and Services. WISD and the subrecipient agree to the following functions and responsibilities in order to provide high-quality, valuable preschool services under this Agreement: A. The subrecipient agrees to follow the joint recruitment process required by MDE and established by WISD. All joint recruitment efforts will be done in coordination with WISD Head Start delegates and partners. 1. The subrecipient agrees to ensure that all families begin the recruitment processing using the county-wide Preschool Interest Form system and to adhere to the recruitment and enrollment procedures provided by WISD. Recruitment of children shall be comprehensive and collaborative. 2. The subrecipient agrees to participate and support county wide joint recruitment efforts for Head Start and GSRP, to promote Head Start and GSRP services within their own service area and to distribute jointly development preschool marketing materials. 3. The subrecipient agrees that all children with disabilities and/or special needs shall be served with required accommodations and modifications as documented in the child’s Individualized Education Plan (IEP). B. The subrecipient shall permit on-site monitoring inspections by WISD or State of Michigan representatives and shall require its employees to furnish such information as, in the judgment of WISD or State of Michigan representatives, may be relevant to compliance with the Agreement and/or any directives applicable to the GSRP or to the effectiveness, legality, and achievements of the program. On-site monitoring could include both program and financial reviews. If a subrecipient is found in non-compliance the subrecipient will be placed on a compliance plan to ensure high quality preschool programming. If satisfactory improvement is not achieved, the subrecipient can risk the loss of GSRP funding in subsequent program years. C. The subrecipient shall submit financial, program, progress, evaluation, and other reports as required by WISD. The subrecipient is responsible for maintaining a student data system which includes completing all necessary information set forth by the Center for Educational Performance and Information (CEPI) and the Michigan Student Data System (MSDS) for student tracking. Additionally, the subrecipient will prepare reports in the format outlined by WISD for MSDS data submissions. Program and Services. The WISD and the Sub-recipient District agree that the following functions, responsibilities, and conditions shall be assumed by the Sub-recipient District in the provision of Head Start programs and services during the period of this Agreement.

Maintain an eligibility folder on each special education student ii. Provide a copy of students’ IEP to all teachers responsible for providing services to students iii. Provide an instructional day comparable to that of general education students, unless the ARD committee determines otherwise, with appropriate supporting data. b. Each school district shall conduct child-find and refer all children and students suspected of having a disability and needing special education services for evaluation. c. The ▇▇▇▇▇▇▇.▇▇▇™ back office software suite (hereinafter, "VuVault program") is designed to enable law enforcement agencies and providers to manage their digital video evidence across the Digital Ally products offered by Digital Ally and selected by Customer. The VuVault program is intended to be utilized for playing back, downloading, archiving, reviewing, unit configuration and management, running customizable reports and chain of custody logs as well as exporting/burning videos for court. This data is made available to the Customer over the Internet through each Customer's account on the VuVault program website ("Website Account"). The VuVault program is designed to work in conjunction with Digital Ally's event recording hardware, sold by separate purchase order in conjunction with the VuVault program ("Units"), including, if purchased by the Customer, the ▇▇▇▇▇▇▇.▇▇▇ ™ All-In Package, which includes the VuVault program with the specific Cloud Storage Plan and the Units customized for the Customer's needs, and if purchased by the Customer, various "Technical Services" offered by Digital Ally. This Agreement applies to the Services (as defined in Section 1.02) only; Units (including all hardware) and Technical Services are sold by Digital Ally pursuant to their own terms and conditions, set forth in Exhibit B and Exhibit C respectively.

  • Programs and Services Every aspect of the service you provide is considered part of your program, and therefore it must be accessible to individuals with disabilities. This includes parking lots, service counters and spaces, transportation (shuttles, etc.), agendas, flyers, emails, online services, phone calls, meetings, celebrations, classes, recreational activities and more. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary. b) Program Member acknowledges that the Program Services are services that are not covered services under any insurance contract to which Program Member may be a party, including, without limitation, Medicare, and are not reimbursable by Program Member’s insurer, health plan or any governmental entity, including Medicare. Program Member agrees to bear sole financial responsibility for the Member Amenities Fee and agrees not to submit to Program Member’s insurer, health plan or governmental entity any ▇▇▇▇, invoice or claim for payment or reimbursement of such Member Amenities Fee. c) Personalized Care Practice or its designated affiliate will separately charge Program Member or Program Member’s insurer, health plan or governmental entity for medical, clinical, diagnostic or therapeutic services rendered by Personalized Care Practice or its designated affiliate to Program Member, and Program Member may seek payment or reimbursement from Program Member’s insurer or health plan for any such service to the extent covered by Program Member’s insurer, health plan or governmental entity. d) Program Member understands, agrees and covenants that this Agreement is a service contract, and not a contract for insurance.
