Report and Payment Clause Samples
The "Report and Payment" clause establishes the obligation for one party to provide regular reports and make corresponding payments to the other party, typically in relation to goods delivered, services rendered, or royalties earned. Report and Payment. Within [***] after the end of each calendar quarter, commencing with the first calendar quarter during which there is any Net Sales of any Product in any region in the Territory, Licensee shall provide Licensor with a royalty report that contains the following information for the applicable calendar quarter, on a Product-by-Product and region-by-region basis: (i) the amount of gross sales of the Product; (ii) Net Sales of the Product; (iii) a calculation of the royalty payment due on such Net Sales, including the application of any reduction made in accordance with Section 4.3(d), and (iv) the exchange rate for such region. Concurrent with the delivery of the applicable quarterly royalty report, Licensee shall pay Licensor in Dollars all royalties owed with respect to the Net Sales of the Products for such calendar quarter.
Report and Payment. Sanofi will pay royalties pursuant to this Section 6.7 within forty-five (45) days after the end of each Calendar Quarter with respect to applicable Net Sales received in such Calendar Quarter, along with a written report setting forth the Gross Sales, Net Sales and adjustments made pursuant to Sections 6.7.2 and 6.7.3 (if applicable), on a Licensed Product-by-Licensed Product and country-by-country basis, and the total royalty payments payable to Rib-X. The report for the fourth (4th) Calendar Quarter in each Calendar Year will include a list of all countries in which a Licensed Product has been sold in the Territory for the applicable Calendar Year.
Report and Payment. (1) LICENSEE shall report to LICENSOR immediately when MSPA closing has occurred.
(2) LICENSEE shall, within ten (10) business days after Closing Date, provide LICENSOR with a report stating (i) the amount of Products in stock which are inventory on a consolidated basis as of March 31, 2017 and (ii) the amount of Royalty for such inventory Products. If LICENSOR considers that a correction of the report is necessary, it will notify thereof to LICENSEE within five (5) business days after its receipt of the report. In such case, LICENSEE shall provide LICENSOR with a corrected report within five (5) business days after its receipt of such notice. LICENSOR shall send an invoice to LICENSEE for Royalty on a consolidated basis, and LICENSEE shall make the payment in Japanese Yen to the bank account designated by LICENSOR within thirty (30) days after the receipt of the invoice.
(1) LICENSEE shall submit a written report to LICENSOR when the LICENSEE and the Share Transfer Subsidiaries have completed, on a consolidated basis, each transitional use stated in Section 2 (2), Section 2 (3), Section 2 (4) and Section 2 (5).
Report and Payment. Within [***] days after each calendar quarter, commencing with the calendar quarter during which any Net Sales of the Product are made anywhere in the Territory, Licensee shall provide Licensor with a report that contains the following information for the applicable calendar quarter, on a country-by-country basis: (i) the amount of gross sales of the Product, (ii) an itemized calculation of Net Sales in the Territory showing separately each type of deduction provided for in the definition of “Net Sales,” (iii) a calculation of the royalty payment due on such sales, including the application of any reduction made in accordance with Section 4.5(c), (iv) the exchange rate for such country; and (v) the aggregate annual Net Sales and whether any commercial milestone has been achieved. Concurrent with the delivery of the applicable quarterly report, Licensee shall pay Licensor in Dollars all royalties owed with respect to Net Sales for such calendar quarter.
Report and Payment. Biodexa shall, within thirty (30) days following the end of each Calendar Quarter, commencing with the First Commercial Sale of a Licensed Product in the Territory, provide to Melior a written report showing the total Net Sales of Licensed Products in the Territory for that Calendar Quarter stated in U.S. Dollars and the royalties due thereon. Such report shall include the gross amount invoiced by Biodexa or any of its Affiliates or Sublicensees to any third party for the sale to such third party of Licensed Products; the type and amount of all deductions and offsets allocated with respect to such sale of Licensed Products; the calculation of Net Sales, including the applicable royalty rate; the calculation of sublicensing revenue, including the type and amount of all Sublicensee payments; the exchange rate used for calculating any royalties and sublicensing revenue; and such other particulars as are reasonably necessary for an accurate accounting of the payments due pursuant to this Agreement.
Report and Payment. LICENSEE shall provide LICENSOR with a written report as necessary for calculation of the Running Royalties under Section 5.4 of the number of Licensed Technology made, had made, used, imported, offered for sale or sold within the Territory by LICENSEE for each quarterly period ending the last day of March, June, September, and December and make each payment for Licensed Technology on the sixtieth (60th) day from the commencement of each new quarterly period.
Report and Payment. Licensee will send a payment report, together with payment of license fees, to Licensor no later than seventy five (75) days following the end of the month in which the Program(s) was purchased by Licensee subscribers for which payment has been received. The report will detail the number of rentals for each Program, the price charged for each rental and total license fee owed to Licensor from those rentals. Report and Payment. (1) JVC shall act as the licensing agent to cooperate with DISKXPRESS to collect all licensing income with respect to the Patents and shall receive fees for its services as agent, all as provided in this Article 4.
(2) It is agreed by the parties hereto that JVC's fee for acting as the patent licensing agent shall be [Confidential Information filed separately with the Securities and Exchange Commission].
(3) At the same time DISKXPRESS pays [Confidential Information filed separately with the Securities and Exchange Commission] to IQROM as provided in the preceding paragraph, DISKXPRESS shall send to IQROM and JVC a royalty statement showing the amount of all licensing income and unit quantities of products sold during the reporting period.
(4) In the event that the agent fee payable by DISKXPRESS to JVC pursuant to Article 4(2) above are subject to income taxes imposed by the government of the United States, DISKXPRESS shall withhold such taxes from the payment and furnish JVC with tax certificates issued by the tax authorities of the United States.
(5) JVC shall make periodic reports on its agent activities to DISKXPRESS within ninety (90) days after march 31, June 30, September 30 and December 31 of each year for the preceding three (3) months period.
Report and Payment. Within [***] after the end of [***], commencing with the First Commercial Sale of a Product in the Territory, Zai shall provide MediLink with a royalty report that contains the following information for the applicable calendar quarter, on a Product-by-Product and jurisdiction-by-jurisdiction basis: (i) the amount of gross sales of the Product, (ii) a calculation of Net Sales of the Product, (iii) a calculation of the royalty payment due on such Net Sales, including the application of any reduction made in accordance with Section 4.4(d), (iv) the exchange rate for such jurisdiction, and (v) the aggregate annual Net Sales and whether any sales milestone has been achieved. Zai shall pay MediLink in Dollars the royalties owed with respect to Net Sales for such calendar quarter within [***] after the receipt of the invoice issued by MediLink after the receipt of the royalty report for such calendar quarter.
Report and Payment. 6.1 IAL shall report in writing the revenue generated by IAL, and the amount of royalty to be paid within thirty (30) days from the last day of every half of calendar year (January 1st - June 30th; July 1st - December 31st) during the term of this Agreement and within thirty (30) days from expiration or termination of this Agreement.
