Representation by Attorney Clause Samples
The 'Representation by Attorney' clause establishes that a party to the agreement is represented by legal counsel in connection with the negotiation, execution, or performance of the contract. This clause typically clarifies that the party has had the opportunity to consult with an attorney, and may specify that the attorney has explained the terms and implications of the agreement. Its core function is to ensure that parties are making informed decisions, reducing the risk of claims that a party did not understand the contract or was unfairly disadvantaged due to lack of legal advice.
