RESTRICTIONS AND LIMITATIONS ON USE. 5.1 You may not, nor permit others to: 5.1.1 rent, lease, lend, re-sell, sub-license, assign, transfer or distribute the licence or the Software except as permitted by this ▇▇▇▇; and 5.1.2 use the Software for commercial gain or chargeable services to third parties; and 5.1.3 create derivative works based upon the Software or any part of it, combine or merge any part of the Software or Documentation with or into any other software or documentation; or refer to or otherwise use the Software as part of any effort to develop software (including any routine, script, code, or program) having any functional attributes, visual expressions or other features similar to those of the Software to compete with us, unless expressly agreed otherwise in writing; and 5.1.4 remove, erase, obscure or vary any product identification or proprietary notices on or in the Software or Documentation; and 5.1.5 attempt to access, read, extract, copy or replace the Software; and 5.1.6 translate, disassemble, decompile, reverse engineer, modify or otherwise tamper with the Software; and 5.1.7 remove our branding, re-brand the Software in any way or present the Software as your own; and 5.1.8 use the Software in violation of this ▇▇▇▇ or any applicable law.
RESTRICTIONS AND LIMITATIONS ON USE. The Authority will cooperate with Motorola in imposing and enforcing the following restrictions and limitations on use which apply to all Eligible Users. 3.7.1 Eligible Users may use the System for any reasonable public safety purpose permitted under FCC rules for the System and which is consistent with the mission and legal authority of the Eligible User Entity. Eligible Users may not use the System in a manner that causes the Authority or Motorola to breach this Agreement; infringes upon Motorola’s or another’s intellectual property rights; or violates applicable law, including FCC requirements concerning the Licensed Frequencies or otherwise. Each Eligible User Entity (and not Motorola nor the Authority) shall be responsible for any claims associated with the content of data that is transmitted by such Eligible User Entity over the System, including any claims with respect to the privacy rights of a third party. Eligible Users shall cooperate with Motorola to avoid the use of the System in a manner that ▇▇▇▇▇ or unduly interferes with the System or related monitoring or management systems. 3.7.2 Eligible Users may not resell any right to use the System provided by Motorola under this Agreement to a third party, except to the extent authorized in writing by Motorola and the Authority. Nothing contained herein shall prevent the Authority from enforcing any agreements with Eligible User Entities concerning repayment, reimbursement or contribution of administrative services or User or Service Fees, other fees, and the like. 3.7.3 Eligible Users may not use the System in a manner that unreasonably disrupts, degrades signal quality, interferes with or ▇▇▇▇▇ the use by other Eligible Users. For example, Eligible Users may not use the System, unless authorized in writing by Motorola: (i) to generate excessive amounts of data traffic through the continuous, unattended streaming, downloading or uploading of videos or other files or to operate hosting services of any kind;

Customer and Users may not use the Service: i. in excess of expected of normal business use, which will be determined by AT&T at its reasonable discretion; ii. in a way that interferes with, disrupts, prevents or restricts other AT&T customers’ or Users use of the Service or another AT&T service; iii. in a way that interferes with or disrupts networks or systems used by AT&T for the Service or another AT&T service; or iv. to bypass, exploit, or otherwise avoid compliance with the Customer Agreement or applicable law. b. In connection with use of the Service, Customer and Users may not: ii. defeat, disable, or circumvent any security mechanism (or attempt to do so) associated with the Service; iii. intercept, capture, monitor, modify, emulate, decrypt, or redirect any communication or data transmitted by the Service, including without limitation by causing any AT&T service to connect to any computer server or other device not authorized by AT&T or in any manner not authorized in advance in writing by AT&T; iv. permit or authorize a third party not authorized by AT&T to use or execute any software commands that facilitate the maintenance or repair of any software or hardware that is part of the Service; v. gain access to, use, or attempt to gain access or use any device, system, network, account, or plan related to the Service in an unauthorized manner; vi. autodial, send automated queries to any website, or send any unsolicited commercial email or facsimiles, or use the Service to violate regulations intended to prevent unsolicited calls, messages (e.g., in violation of the Telephone Consumer Protection Act of 1991); vii. engage in or allow forwarding or trunking of Customer or its User telephone numbers to another telephone number or system for the purpose of multiple simultaneous calls, for call center activities, or similar activities that forward telephone numbers to a private branch exchange or a key system;

  • Restrictions and Limitations (a) The Trust shall not lend assets of the Trust to any officer or Trustee of the Trust or to any officer, director, or stockholder (or partner of a stockholder) of, or person financially interested in, the investment adviser or any underwriter of the Trust, or to the investment adviser of the Trust or to any underwriter of the Trust. (b) The Trust shall not restrict the transferability or negotiability of the shares of the Trust, except in conformity with the statements with respect thereto contained in the Trust's Registration Statement, and not in contravention of such rules and regulations as the SEC may prescribe. (c) The Trust shall not permit any officer or Trustee of the Trust, or any officer, director, or stockholder (or partner of a stockholder) of the investment adviser or any underwriter of the Trust to deal for or on behalf of the Trust with himself as principal or agent, or with any partnership, association or trust in which he has a financial interest; provided that the foregoing provisions shall not prevent, to the extent consistent with applicable securities laws: (1) officers and Trustees of the Trust from buying, holding, redeeming, or selling shares in the Trust, or from being officers, directors, or stockholders (or partners of a stockholder) of or otherwise financially interested in the investment adviser or any underwriter of the Trust; (2) purchases or sales of securities or other property by the Trust from or to an affiliated person or to the investment adviser or any underwriter of the Trust, if such transactions are not prohibited by the 1940 Act or have been exempted by SEC order from the prohibitions of the 1940 Act; (3) purchases of investments for the portfolio of the Trust through a securities dealer who is, or one or more of whose partners, stockholders, officers, or directors is, an officer or Trustee of the Trust, if such transactions are handled in the capacity of broker only and commissions charged do not exceed customary brokerage charges for such services; (4) employment of legal counsel, registrar, transfer agent, dividend disbursing agent, or custodian who is, or has a partner, stockholder, officer, or director who is, an officer or Trustee of the Trust, if only customary fees are charged for services to the Trust; (5) sharing statistical research, legal and management expenses and office hire and expenses with any other investment company in which an officer or Trustee of the Trust is an officer, trustee, or director or otherwise financially interested.

  • Restrictions on Use You agree not to use Mobile Banking or the Software in or for any illegal, fraudulent, unauthorized, or improper manner or purpose and will only be used in compliance with all applicable laws, rules and regulations, including all applicable state, federal, and international Internet, data, telecommunications, telemarketing, “spam,” and import/export laws, and regulations, including the U.S. Export Administration Regulations. Without limiting the foregoing, you agree that you will not use Mobile Banking or the Software to transmit or disseminate: (i) junk mail, spam, or unsolicited material to persons or entities that have not agreed to receive such material or to whom you do not otherwise have a legal right to send such material; (ii) material that infringes or violates any third party’s intellectual property rights, rights of publicity, privacy, or confidentiality, or the rights or legal obligations of any wireless service provider or any of its clients or subscribers; (iii) material or data, that is illegal, or material or data, as determined by Nekoosa Port ▇▇▇▇▇▇▇ State Bank (in its sole discretion), that is harassing, coercive, defamatory, libelous, abusive, threatening, obscene, or otherwise objectionable, materials that are harmful to minors or excessive in quantity, or materials the transmission of which could diminish or harm the reputation of Nekoosa Port ▇▇▇▇▇▇▇ State Bank or any third-party service provider involved in the provision of Mobile Banking; (iv) material or data that is alcoholic beverage-related (e.g., beer, wine, or liquor), tobacco-related (e.g., cigarettes, cigars, pipes, chewing tobacco), guns or weapons-related (e.g., firearms, bullets), illegal drugs-related (e.g., marijuana, cocaine), pornographic-related (e.g., adult themes, sexual content), crime-related (e.g., organized crime, notorious characters), violence-related (e.g., violent games), death-related (e.g., funeral homes, mortuaries), hate-related (e.g. racist organizations), gambling-related (e.g., casinos, lotteries), specifically mentions any wireless carrier or copies or parodies the products or services of any wireless carrier; (v) viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data, or personal information; (vi) any material or information that is false, misleading, or inaccurate; (vii) any material that would expose Nekoosa Port ▇▇▇▇▇▇▇ State Bank, any third-party service provider involved in providing Mobile Banking, or any other third party to liability; or (viii) any signal or impulse that could cause electrical, magnetic, optical, or other technical harm to the equipment or facilities of Fiserv or any third party. You agree that you will not attempt to: (a) access any software or services for which your use has not been authorized; or (b) use or attempt to use a third party’s account; or (c) interfere in any manner with the provision of Mobile Banking or the Software, the security of Mobile Banking or the Software, or other customers of Mobile Banking or the Software; or (d) otherwise abuse Mobile Banking or the Software.

  • Limitations on Use No part of the moneys delivered to the Recipient pursuant to Section II hereof is being or will be used to refinance, retire, redeem, or otherwise pay debt service on all or any part of any part of any governmental obligations regardless of whether the interest on such obligations is or was excluded from gross income for federal income tax purposes unless prior approval by the Director is given.

  • Restrictions on U.S Transfers. Transfers of interests in the Regulation S Global Security to U.S. persons (as defined in Regulation S) shall be limited to transfers made pursuant to the provisions of Section 3.03(h)(C).

  • Conditions and Limitations The admission of any Person as a Substituted Member or an Additional Member shall be conditioned upon (i) such Person’s written acceptance and adoption of all the terms and provisions of this Agreement, either by (A) execution and delivery of a counterpart signature page to this Agreement countersigned by the Managing Member on behalf of the Company or (B) any other writing evidencing the intent of such Person to become a Substituted Member or an Additional Member and such writing is accepted by the Managing Member on behalf of the Company.
