Right to Refuse Transfer Clause Samples

The Right to Refuse Transfer clause grants a party, typically the original contracting party or a specified stakeholder, the authority to deny or block the transfer of rights or obligations under the agreement to another party. In practice, this means that if one party wishes to assign their interests or delegate their duties to a third party, they must first obtain approval from the party holding the right to refuse; for example, a landlord may prevent a tenant from subletting without consent. This clause serves to maintain control over who is involved in the contract, thereby protecting the interests and expectations of the party with the refusal right and preventing unwanted or unsuitable third parties from entering the contractual relationship.
