Scope of Deliverables. The Contractor must provide the Zone 3 Colocation Services (Deliverables) specified in Part B (Deliverables) of this Annexure, in accordance with the functional, performance and other requirements specified in this Annexure and any Order. Proposed Data Centre Facilities must: be located in New South Wales (NSW) or Australian Capital Territory (ACT); have an average PUE 1.6 or less; have a minimum site designed capacity of at least 1 million Voltage Amps (MVA); meet or exceed the Uptime Institutes standard for a Tier 3 Data Centre; and be certified to PSPF Zone 3 or above, or be able to demonstrate that areas within the Data Centre Facility can be uplifted to be certified to PSPF Zone 3 of that area.

Scope of Deliverables. .1 The Vendor acknowledges and agrees that, in relation to the Deliverables, the Vendor: a) shall provide the Deliverables on the applicable Date(s) Required regardless of the date of acceptance of this Agreement by the Vendor; b) shall provide the Deliverables in a competent, professional, timely and efficient manner, consistent with the Standards, Specifications and provisions of this PO Agreement; c) unless otherwise agreed to in writing by BCIT, shall be solely responsible for providing all labour, materials, supplies, Vendor’s Equipment, facilities, approval and licenses necessary or advisable to perform its obligations in this PO Agreement and any maintenance, damage, loss or theft of Vendor’s Equipment; d) warrants that neither the supply of any Deliverables to BCIT nor the use of those Deliverables by BCIT will constitute an infringement of any patent, copyright, trade-mark, trade secret or other intellectual property of any third party; e) shall obtain BCIT’s prior written approval to any changes to the Purchase Order; f) shall assign all manufacturer warranties to BCIT for products manufactured by third party manufacturers and provided to BCIT by the Vendor pursuant to this PO Agreement, and shall take all necessary steps as required by such third party manufacturers to effect assignment of such warranties to BCIT. Payment by BCIT to the Vendor under this PO Agreement be deferred, as to all or part as BCIT may require, until the foregoing has been carried out to the satisfaction of BCIT; g) will abide by the Conflict of Interest provisions in BCIT’s Code of Conduct as if the Vendor were an employee of BCIT; and h) represents and warrants that is in the business of providing the type of Deliverables described in this PO Agreement. .2 Where Date(s) Required is/are stated in the Purchase Order, timely delivery is of the essence and the Vendor will be responsible to ensure that such delivery is made, and will notify BCIT immediately in writing of any anticipated delays and the reasons therefore. .3 The Vendor and BCIT agree to work cooperatively in carrying out the obligations set out in this PO Agreement, with a view to optimizing efficiency, achieving cost reductions, ensuring safety and minimizing inconveniences. .4 It is the responsibility of the Vendor to ensure that it has obtained all necessary employment authorizations for any foreign workers and contractors.   • SCOPE OF DELIVERY Seller agrees to accept deliveries of natural gas belonging to Buyer at Seller's delivery point from the upstream pipeline located near Columbia, South Carolina, and to transport Buyer's gas and redeliver to Buyer. Service provided hereunder is in lieu of natural gas provided from Seller's system supply to satisfy Buyer's fuel requirements in Priority-of-Service Category 3C. ▇▇▇▇▇ agrees that the transportation service is provided on an interruptible basis. Interruptions of transportation service shall be at the sole discretion of Seller or whenever service is interrupted by any upstream pipeline.

  • Rejection of Deliverables The Department reserves the right to reject deliverables, as outlined in the Grant Work Plan, as incomplete, inadequate, or unacceptable due, in whole or in part, to ▇▇▇▇▇▇▇’s lack of satisfactory performance under the terms of this Agreement. The Grantee’s efforts to correct the rejected deliverables will be at ▇▇▇▇▇▇▇’s sole expense. Failure to fulfill the applicable technical requirements or complete all tasks or activities in accordance with the Grant Work Plan will result in rejection of the deliverable and the associated invoice. Payment for the rejected deliverable will not be issued unless the rejected deliverable is made acceptable to Department in accordance with the Agreement requirements. The Department, at its option, may allow additional time within which Grantee may remedy the objections noted by Department. The Grantee’s failure to make adequate or acceptable deliverables after a reasonable opportunity to do so shall constitute an event of default.

  • Acceptance of Deliverables The State’s Project Manager shall be responsible for the sign-off acceptance of all Deliverables required and performed/submitted pursuant to this Agreement. Upon successful completion of a Deliverable, Contractor shall provide the State’s Project Manager with a completed Acceptance and Signoff Form (Exhibit E). The State’s Project Manager will apply the standards established in Exhibit D and the acceptance criteria set forth in subparagraph B of this article, as appropriate, to determine the acceptability of the Deliverable provided by Contractor. If the State’s Project Manager rejects the Deliverable, the parties agree to any dispute(s) resulting from such rejection(s) will be resolved as set forth in this article. Acceptance Criteria for Deliverables (“Criteria”) provided by Contractor pursuant to this Agreement include: Timeliness: The Work was provided on time; according to schedule; Completeness: The Deliverable contained all of the, Data, Materials, and features required by the Agreement; and Technical accuracy: The Deliverable complied with the standards of this Agreement, or, if this Agreement lacks a standard for provision of the Work, the currently generally accepted industry standard. Contractor shall provide the Deliverable to the State, in accordance with direction from the Project Manager and as provided for in Exhibit D. The State shall accept the Deliverable, provided that Contractor has delivered the Deliverable in accordance with the Criteria. The State’s Project Manager shall assign the Acceptance and Signoff Form to notify Contractor of the Deliverable’s acceptability. If the State rejects the Deliverable provided, the State’s Project Manager shall submit to Contractor’s Project Manager a written rejection describing in detail the failure of the Deliverable as measured against the Criteria. If the State rejects the Deliverable, then Contractor shall have a period of ten (10) Business Days from receipt of the Notice of rejection to correct the stated failure(s) to conform to the Criteria.

  • Deliverables Upon satisfactory completion of the work authorization, the Engineer shall submit the deliverables as specified in the executed work authorization to the State for review and acceptance.
