Security Generally. As collateral security for the Loan and all other Obligations, the Borrowers hereby grant and convey to the Administrative Agent, for the benefit of the Lenders ratably, a security interest in all of the assets of each Borrower, including, without limitation, the following (collectively, the “Collateral”):
Security Generally. All the Security created under this Agreement: (a) is continuing security for the irrevocable and indefeasible payment in full of the Secured Obligations, regardless of any intermediate payment or discharge in whole or in part; and (b) is in addition to, and not in any way prejudiced by, any other security now or subsequently held by the Security Trustee on behalf of the Secured Parties.

Ventiv represents and warrants that Ventiv, its partners, and/or its vendors, will maintain the Customer Data in a manner that conforms to applicable laws, utilizing generally accepted industry standard data management practices and no less than reasonable measures in the circumstances as it concerns environmental stability, data backup, backup frequency, media retention, data loss prevention, data/system security, and contingency plans/disaster recovery in accordance with the Information Security Protocols set forth below in Section 7.4. Access to Customer Data will be restricted to Ventiv employees who have been properly trained and instructed as to security and privacy policies, controls and procedures.
Security Generally. On or prior to date of this Agreement, Agent shall receive duly executed copies of the Collateral Agreement and Blocked Account Control Agreement and, promptly thereafter, searches of records evidencing that financing statements have been filed in all appropriate jurisdictions to perfect a security interest conforming to the representation contained in Section 4.19 of this Agreement, and, at all times thereafter, Agent shall receive such other agreements, amendments, documents, assignments, statements or instruments, in each case in form and substance satisfactory to Agent, as may be reasonably necessary to evidence, perfect or otherwise implement the Lien created by the Security Documents as collateral security for the performance and repayment of the Obligations (in the case of Borrower) or of the Guaranteed Obligations (as defined in the Guaranty Agreement in the case of the Guarantors) in accordance with the requirements of the Credit Agreement.

Access to Electronic Data will be restricted to those who have been properly trained and instructed as to security and privacy policies, controls and procedures.

Security Generally. All the Transaction Security:
(A) is created in favour of the Lender;
(B) is created over the present and future assets of each Chargor;
(C) is security for the payment of all the Secured Liabilities; and
(D) is made with full title guarantee in accordance with the Law of Property (Miscellaneous Provisions) Act 1994.
Security Generally. The parties acknowledge that security measures required in this Section 5.1 are necessary in order to preserve and protect the public health, safety and welfare.
