Service Materials. The Customer will ensure the confidentiality, security, and proper use of all Service Materials, including tokens, login IDs, passkeys, passwords, pass phrases, personal verification questions, and other Security Devices, and Electronic Channels. The Customer will immediately notify Royal Bank, verbally and in writing, if any Service Materials or Electronic Channels are lost or stolen or if there is any unusual, suspicious, actual or suspected fraudulent, or other unauthorized use in relation to Canadian Online Banking, US Online Banking, or the available Services or OPS.

(b) The Customer will have a non-exclusive license to use the Service Materials solely for the service for which they are provided. The Customer will not be entitled to assign the license, and the license will end immediately after the end of the provision of that service. Immediately after the license ends, the Customer will return the Service Materials, together with any copies then in the Customer’s possession or control, to the Bank. (c) The Customer will treat as confidential any software or written material forming part of the Service Materials and will not disclose them to any third party. This obligation will not apply to information that is in the public domain or that the Customer can get from a third party without a breach of any obligation by that third party to the Bank. (d) The Bank will defend the Customer against a claim that any Service Materials, when used in accordance with the Bank’s instructions, infringes any patent, copyright, or other proprietary right, if the Customer notifies the Bank promptly receipt and/or notice of the claim and gives the Bank exclusive authority to defend it. The Bank will have no other obligation to the Customer for the infringement of any patent, copyright, or other proprietary right by any Service Materials. (e) The Bank will be entitled at any time to replace any Service Materials with other Service Materials of the same type, on the condition that by replacing those Service Materials the Bank does not materially change the nature of the service for which they were provided.
Service Materials. Client hereby acknowledges and agrees that the Service set forth hereunder is only an outline of the Service provided by Provider, and the specific services, features and/or Models may be referred to Service Materials updated by Provider from time to time after the Effective Date. Provider will provide Client with Service Materials where instruction or guideline will be offered to Client on how to use the Service. Should Provider wish to make any modification or changes of such Service Materials, Provider will use reasonable efforts to notify Client in advance without assuming any liability. Service Materials. Employer shall provide Administrative Agent with all relevant information to perform the services. Employer shall distribute to employees all necessary forms, including but not limited to, Wellness Notice, campaign letters to Participants (including reminders and step completion letters), and any other information or documentation requested by a Participant. Employer shall notify Administrative Agent of any changes to the Service at least thirty (30) days before the effective date of such changes. Employer acknowledges that Administrative Agent is not providing tax or legal advice or representation and that Employer shall be solely responsible for determining the legal and tax status and implications of the Service. Employer shall be solely responsible for filing any required documentation to relevant governmental agencies and authorities.
Service Materials. 15.1.1.1 The Supplier shall provide or arrange for service materials, tools, documentation, diagnostics and test equipment necessary for the Services at its own cost. The Supplier shall provide information for Partner to check the compatibility of the service materials, tools, documentation, diagnostics and test equipment. The Supplier shall ensure that only qualified maintenance personnel carry out the works.
Service Materials. Service materials, including proprietary Software tools and associated documentation used by COMPAQ or a service provider authorized by COMPAQ in the delivery of Services, remain the exclusive property of COMPAQ. CUSTOMER may use the service materials only for activities relating to the delivery of, and only during the term of, the applicable Services. Use of proprietary Software tools is subject to applicable license terms. CUSTOMER may not modify, remove or transfer the Service materials or make them or any resultant diagnosis or system management data available to other parties without COMPAQ’s prior written consent. Upon termination of the applicable Services, CUSTOMER will at COMPAQ’s option destroy or return all Service material in its possession. Replacement parts may be new or refurbished. Replaced parts become the property of COMPAQ or the servic e provider.
