Services clauses. 3.3.1 Late Delivery of the Services will be a Default of this Contract.
3.3.2 The Supplier must co-operate with the Buyer and third party suppliers on all aspects connected with the Delivery of the Services and ensure that Supplier Staff comply with any reasonable instructions of the Buyer or third party suppliers.
3.3.3 The Supplier must at its own risk and expense provide all Supplier Equipment required to Deliver the Services. Any equipment provided by the Buyer to the Supplier for supplying the Services remains the property of the Buyer and is to be returned to the Buyer on expiry or termination of this Contract.
3.3.4 The Supplier must allocate sufficient resources and appropriate expertise to this Contract.
3.3.5 The Supplier must take all reasonable care to ensure performance does not disrupt the Buyer’s operations, employees or other contractors.
3.3.6 On completion of the Services, the Supplier is responsible for leaving the Buyer Premises in a clean, safe and tidy condition and making good any damage that it has caused to the Buyer Premises or Buyer Assets, other than fair wear and tear.
3.3.7 The Supplier must ensure all Services, and anything used to Deliver the Services, are of good quality and free from defects.
3.3.8 The Buyer is entitled to withhold payment for partially or undelivered Services, but doing so does not stop it from using its other rights under this Contract.

(h) The Supplier must ensure all Services, and anything used to deliver the Services, are of good quality and free from defects
(i) The Authority is entitled to withhold payment for partially or undelivered Services, but doing so does not stop it from using its other rights under the Contract.
Services clauses. Each Buyer Agreement shall include, as a minimum, the following provisions in relation to Services, unless otherwise agreed with the Buyer in writing:

Any equipment provided by the Buyer to the Supplier for supplying the Services remains the property of the Buyer and is to be returned to the Buyer on expiry or termination of the Contract.
(e) The Supplier must allocate sufficient resources and appropriate expertise to the Contract.

(h) The Supplier must ensure all Services, and all equipment used to supply the Services, are well maintained, of good quality and free from defects.
(i) Without prejudice to any other rights and remedies under the Contract, the Buyer is entitled to withhold payment for partially Delivered or undelivered Services.

(g) Supplier shall not be liable for any loss or damage stemming from any parties’ reliance on or use of the Services. The Services are provided on an “as-is” basis. Nothing in the Services is intended as advice. The Supplier is not providing medical, financial, legal, compliance or any other professional advice by allowing the Buyer to access the information and data contained in the Services. The Supplier does not guarantee the adequacy, veracity, accuracy, timeliness or completeness of the Supplier’s information or any component thereof. Accordingly any decisions made in reliance on the information contained in any of the Services or any interpretations of the data are the Buyer’s own for which they have full responsibility. The Buyer should not rely on any rating or other opinion contained therein in making any investment or other decision. In no event whatsoever shall the Supplier be liable for any indirect, special, incidental, punitive or consequential damages, including but not limited to loss of profits, trading losses, or lost time or goodwill. In no event shall the maximum cumulative liability of the Licensor in connection with the Licensed Product or this Agreement, regardless of the form(s) of action, whether in contract, tort, strict liability or otherwise, exceed 125% of the Charges paid or payable to the Supplier. Nothing in this agreement seeks to limit or restrict liability for death or personal injury resulting from negligence.
