Software Functionality. The functionality of the Software is described in the Master Agreement, or if no such Master Agreement is applicable, then in the documentation accompanying the Software.

Software Functionality. The Software will have the following functionality:
Software Functionality. 3.1.1 Client’s election of the Subscribed Modules will be set forth in the Order Form, signed by both Ceridian and Client. Ceridian warrants that the Subscribed Modules and the Software shall substantially perform in accordance with the Software Functionality and Global Use Guide. Ceridian shall not be liable to remedy any failure of the Subscribed Modules and the Software resulting from the acts or omissions of Client or any third party (other than Ceridian Contractors), and is provided “as-is” and “as-available”. The Subscribed Modules and the Software may be used by Client outside the Territory in accordance with the terms of the Software Functionality and Global Use Guide. Without limiting the terms of the Software Functionality and Global Use Guide, Client acknowledges and agrees that certain country specific laws (including privacy laws) outside of the Territory may, from time to time, restrict or prohibit Client’s use of the Subscribed Modules and the Software, and Client is responsible for ensuring it is complying with such requirements.
Software Functionality. Each of the computer software programs included in the Owned Intellectual Property is functional and operational substantially in accordance with the specifications and documentation of the Sellers relating to that software, and has been documented in accordance with the standard practices of the Sellers. The Sellers possess full and complete source and object code versions of all such software and all documentation with respect thereto, a copy of which has been previously made available to the Purchaser. The Purchased Intellectual Property includes all items and documentation necessary so that a trained computer programmer can develop, maintain, support, compile and use that software.
Software Functionality. Customer acknowledges that certain functionality in current and previous software versions may not be available in future new software versions. Customer is not entitled to any package, functionality, or configuration of the software not appearing on Quotation. This exclusion does not prevent Customer from receiving anything that was moved to the general release available to all customers.
Software Functionality. The proposed software must provide functionality in the following major business areas: • Management of data structure and relationships between contracts, contractors, insurance documents, and contractor metadata, • Management of insurance requirements for contractors, including customization of multiple templates, • Management and storage of contractors’ insurance documents, • Ability for non-software users (contractors and their representatives) to submit documents and requests, • Management of reviews and auditing of insurance documents submitted by contractors. Review of any document must be performed, and the result updated in the software, within 48 hours from the time of submittal, • Management and maintenance of data, business rules, processes, and workflows, • Management of a workflow engine for the following processes: new contractor onboarding, review of insurance documents submitted by contractors for compliance and non-compliance, insurance renewals, cancellation notices, and temporary waivers on select insurance lines, • Management of notifications/communications generated from workflow processes in a consolidated manner for contractors with multiple contracts, where applicable, and • Management of role-based access control with configurable permissions based on functions to be performed (process) and data.
Software Functionality. Each of the computer software programs listed in Section 3.11(j)(A) of the Seller Disclosure Schedule (the "Developed Programs") is operational substantially in accordance with the specifications and documentation of Moldflow relating to that software, and has been documented in accordance with the standard practices of Moldflow except as set forth in Section 3.11(j)(B) of the Seller Disclosure Schedule. Moldflow possesses full and complete source and object code versions of each Developed Program. Each Developed Program includes all items so that the Active Employees involved in such activities at the time of Closing can develop, maintain, support, compile and use the Developed Programs, except as set forth in Section 3.11(j)(B) of the Seller Disclosure Schedule.
Software Functionality. Business Partner has the right to modify its services in response to market and customer needs. Business Partner can make these modifications as long as the changes are greater than or equal to the current service level and does not materially change from the present BP software functionality.
