SOW Modification a. Either Party may request modifications to a SOW by submitting a Change Request Form (Exhibit D) to the other Party. Modifications may include changes to the SOW scope of Services or Deliverables. b. The proposed Change Request Form must include all of the SOW elements listed above in sections a. through g. if any SOW may be affected by the Change Request.

SOW Modification. This SOW may be modified only upon the written approval of both OraSure and AbbVie. The scope change request process will be the vehicle for communicating change. Either party may initiate a change request in writing. Both parties must review the proposed change and either approve or reject such change in writing prior to proceeding with any change to this SOW.   • Waiver; Modification Failure to insist upon strict compliance with any of the terms, covenants, or conditions hereof shall not be deemed a waiver of such term, covenant, or condition, nor shall any waiver or relinquishment of, or failure to insist upon strict compliance with, any right or power hereunder at any one or more times be deemed a waiver or relinquishment of such right or power at any other time or times. This Agreement shall not be modified in any respect except by a writing executed by each party hereto.
