Specified Service. The Supplier shall provide the Specified Service(s) to the Client subject to the terms of this Agreement. Particulars of the Specified Service(s) to be provided shall be as detailed in the relevant Schedule(s). The Supplier shall commence the delivery or performance of the Specified Services as stipulated in the relevant Schedule. The Supplier shall take reasonable steps to comply with any timetable or other targets for progress or delivery of the whole or any agreed part of the Specified Service(s) or the completion of the Specified Service(s) agreed in writing between the parties. However, time will not be of the essence for the purpose of this Agreement and any timetable, or similar, provided will be an estimate only. Any service standards will be as set out within the Schedule(s) and shall apply solely to that particular Schedule. Because of the nature of the work to be undertaken by the Supplier, both parties accept that it may be necessary to alter or adapt a Schedule and that any additional works required may not be included in the Specified Sum as detailed in this Agreement. The parties accept that any changes or additions to the Schedule or the terms of this Agreement will be valid only if agreed in writing by the Supplier and the Client. The Supplier may change the Schedule without notice to the Client if such change shall not, in the reasonable opinion of the Supplier, materially impact the Schedule or any other Specified Services to be delivered under this Agreement and either:
Specified Service. 3.1 Overall Aim of Project To co-ordinate the processes involved in the putting up, and taking down, of festival lights in Spalding Town Centre.
Specified Service. 3.1 The Supplier shall provide the Specified Service to the End-User during the Business Hours subject to the terms of this Agreement. 3.2 Both parties hereby agree that it may be necessary to alter or adapt the Specified Service and that any additional works required will not be included in the Specified Sum as detailed in this Agreement. Any alterations or adaptations of the Specified Service or any additional Services or Excepted Services required will be agreed in writing by the parties. 3.3 The Supplier reserves the right to revise the Specified Sum if any changes are proposed to the Specified Service under Clause 3.2 above. Any Additional Charges shall be invoiced monthly in arrears. 3.4 The Supplier shall take all reasonable steps to comply with any targets for delivery of the Specified Service or the completion of the Specified Service agreed in writing between the parties. 3.5 The Supplier may at any time and without giving the End-User prior notification make any changes to the Specified Service which are necessary to comply with any applicable safety or other statutory requirements or make any changes to the Specified Service which do not materially affect the nature or quality of the Specified Service. In such circumstances, the Supplier reserves the right to revise the Specified Sum in the light of such changes.
Specified Service. 3.1 The Consultant shall provide the Specified Service to the Centre subject to the terms of this Agreement. 3.2 Any changes or additions to the Specified Service or the Specified Sum must be agreed in writing by the Consultant and the Centre. 3.3 The Consultant reserves the right to revise the Specified Sum in the light of any changes to the Specified Service in the light of Clause 3.2 above. The Consultant will inform the Centre of any proposed changes in the Specified Sum in writing and these changes will not be valid until accepted in writing by the Centre. 3.4 The Specified Service will be provided in accordance with an agreed schedule, describing the work plan and timetable.
Specified Service. 3.1 The Service Provider shall provide the Specified Service to the Client subject to the terms of this Agreement as set out below. 3.2 Any changes or additions to the Specified Service or the terms of this Agreement will be valid only if agreed in writing by the Service Provider and the Client. 3.3 The Service Provider shall provide the Specified Service and shall take all reasonable steps to comply with any timetable or other targets for the progress or delivery or completion of the Specified Service agreed in writing between the parties. 3.4 The Service Provider may at any time and without giving the Client prior notification make any changes to the Specified Service which are necessary to comply with any applicable safety or other statutory requirements, or make any changes to the Specified Service which do not materially affect the nature or quality of the Specified Service.

  • Level of Service Complex case management with a provider focus is appropriate for members who either choose not to be actively involved or are unable to actively participate in their health care. Complex case management targets members with two (2) or more disease states who need assistance with care coordination, making preventive care appointments, or accessing care to address the members’ chronic health conditions or members who have had an inpatient hospital stay in the last ninety (90) days or members with high dollar claims of over fifty thousand dollars (>$50,000) in six (6) months. The focus is on working with the providers to meet the needs of the individual through communication with the PMP (if applicable), other providers, and the member’s natural support system. The goal is to help members gain optimum health or improved functional capability, in the right setting and in a cost-effective manner. Complex case management with provider focus is the active coordination by the Contractor of care and services between providers while navigating the extensive systems and resources required for the member. It involves comprehensive assessment, determination of available benefits, development and implementation of a complex case management plan directed at the chronic health conditions. At a minimum, the Contractor must provide complex case management services for members discharged from an inpatient psychiatric, drug overdose, or substance abuse hospitalization, for no fewer than ninety (90) calendar days following that inpatient hospitalization discharge. The Contractor must also provide complex case management services for any member at risk for inpatient psychiatric or substance abuse re -hospitalization. Care managers must contact members during an inpatient hospitalization or as soon as practicable upon receiving notification of a member’s inpatient behavioral health hospitalization. The care manager must work with the hospital discharge planner, provider case manager and/or natural supports (i.e. family) to ensure that an outpatient follow-up appointment is scheduled to occur no later than seven (7) calendar days following the inpatient behavioral health hospitalization discharge and transportation is not a barrier to attending the appointment. Complex case management with provider focus includes all of the services and benefits from disease management and care management. In addition,
