Supervision and Administration. 8.1 The services of Annex A, Section 1, Sub-Section 1.3 covered by Sub-Paragraph 1.1 of this Annex B, refer only to the following services of Annex A which are performed for the Carrier by other organisation(s) under cover of separate agreement(s):
Supervision and Administration. Authorized Selling Firm shall have full, joint and several responsibility for the training and supervision of all of its Producers who are engaged directly or indirectly in the offer or sale of the Products, and all such Producers shall be subject to the control of Authorized Selling Firm with respect to their securities and insurance regulated activities in connection with the Products. Authorized Selling Firm shall be responsible for all acts or omissions of Producers. Agency's supervisory and administrative responsibilities include, but are not limited to:
4.4.1 ensuring that Producers comply with Company Rules and all federal and state laws and regulations applicable to the Products;
4.4.2 ensuring that Producers comply with all terms of the Agreement in soliciting, selling and providing service for Products;
4.4.3 supplying sales literature and application forms approved by Company to Producers;
4.4.4 assisting Producers in responding to customer inquiries;
4.4.5 promptly delivering to Producers relevant Company communications and Company Rules concerning Products, such as changes in rates, regulatory notices or new Product announcements;
4.4.6 on all Replacement sales, ensuring that Producers provide Product applicants sufficient information and disclosures to ensure the suitability of the Replacement sale. Such information includes that which is required by the rules of the NASD and any state insurance authority but is not limited to:
(a) all fees, expenses and possible charges, such as surrender charges, on both the new and the surrendered investments; (b) any change in the investment risk to the Product applicant; (c) any change in the nature or the provider of any guarantees associated with the Product and/or the surrendered product; All such information will be retained by Agency for seven years from the date of the completion and signature of any application, and will be made available to Company as is shown in Section 4.8, "Accurate Record; Audit," herein
4.4.7 notifying Company if any Agency or Producer fails to maintain the required state insurance license or becomes inactive;
4.4.8 promptly informing Company of any violation of law or Company Rules by Authorized Selling Firm or Producer, or of any allegation by Contract holder or regulatory agency of wrongdoing as regards the activities of Authorized Selling Firm, or a Producer with respect to the Products; and

Supervision and Administration. Pursuant to Texas Government Code §791.013, the Parties may create an administrative agency, designate a local government, or contract with a qualified tax-exempt organization to supervise the performance of this Agreement.

Producers and Licensed Assistants shall be subject to the control of Authorized Selling Firm with respect to their securities and insurance regulated activities in connection with the Products. Authorized Selling Firm shall be responsible for all acts or omissions of Producers and Licensed Assistants. Authorized Selling Firm's supervisory and administrative responsibilities include, but are not limited to:
4.5.1 ensuring that Producers and Licensed Assistants comply with Company Rules and all federal and state laws and regulations applicable to the Products and Accounts;
4.5.2 ensuring that Producers comply with all terms of this Agreement in soliciting and selling the Products and servicing the Accounts;
4.5.3 ensuring that Licensed Assistants comply with all terms of this Agreement in providing any service to the Contract owner;
4.5.4 supplying Producers with sales literature and application forms approved by Company;
4.5.5 assisting Producers and Licensed Assistants in responding to customer inquiries;
4.5.6 promptly delivering to Producers relevant Company communications and Company Rules concerning Products and/or Accounts, such as changes in rates, regulatory notices or new Product announcements;
4.5.7 on all Replacements, ensuring that Producers provide Product applicants sufficient information and disclosures to ensure the suitability of the Replacement. Such information shall include that which NASD Members and their affiliated persons are expected to provide in sales involving a Replacement, information required under applicable state insurance law and regulation and the following:
(a) all fees, expenses, and possible charges, such as surrender charges, on both the new and the surrendered investments; (b) any change in the investment risk to the Product applicant;
(c) any change in the nature or the provider of any guarantees associated with the Product and/or the surrendered product; All such information will be retained by Agency for six years from the date of the completion and signature of any application, and will be made available to Company in accordance with Section 4.10, "Accurate Record; Audit," of this Agreement;

Contract administration shall require the performance of all general field services required on construction projects such as construction staking, continuous monitoring of the project, coordination and supervision of testing services, approval and correction of shop drawings, attendance at meetings and conferences, final inspection and measurement, periodic reporting of progress, preparation of progress payments, review and recommendation of claims, preparation of change orders and preparation of final payment.

For example:

During a major incident, and only with the consent of the participating agencies, personnel will be subject to the general strategies and direction of the Incident Commander for the home agency and only for so long as the major incident, precipitating the request for aid, continues.
b. The Home Agency shall provide Incident Command for incidents occurring within their primary jurisdiction.
c. Individual officers are subject only to the policies and procedures of their Employing Agency.
