SUPPLIER DIVERSITY PROGRAM. To the extent legally permissible, SELLER will use commercially reasonable efforts to ensure the use of diverse owned suppliers, including women owned suppliers, and in the United States of America also including ethnic minority, military veteran, people with disabilities, and LGBT owned suppliers, to meet ▇▇▇▇▇’s goals.

SUPPLIER DIVERSITY PROGRAM. It is PB’s policy through its Global Supplier Diversity Program Office that certified minority business enterprises (“MBEs”), women business enterprises (“WBEs”), Service Disabled Veteran-owned Business Enterprises (“DBEs”), and Veteran-owned Business Enterprises (“VBEs”), Lesbian Gay Bisexual Transsexual enterprises (“LGBTs”) (collectively “Diverse Suppliers”), shall have equal opportunity to participate in the performance of contracts for goods and services with PB and its prime suppliers. (ii) identify the actions, programs or efforts to be undertaken within thirty (30) days after contract award to comply with the stated policy regarding the goods and services specifically identifiable to the work to be performed under the Agreement;
(iii) identify procurement opportunities that may exist relating to the Agreement that include, or may include, Diverse Supplier participation in the direct production or distribution of COMPANY’s products or services (collectively, “Direct Opportunities”);
(iv) identify indirect products and services that COMPANY purchases to run its day-to-day operations that may be purchased from Diverse Suppliers (collectively, “Indirect Opportunities”); and
(v) submit a Second-Tier Quarterly Spend Report (“Report”) within four weeks after the end of each calendar quarter (i.e., April, July, October and January of each year). The Report will list all certified Diverse Suppliers and spend amounts that COMPANY utilized through Direct Opportunities or will provide an accounting of the indirect dollars allocated to PB as calculated from the “percent of sales” methodology, during the previous quarter and any other information as PB may request from time to time. COMPANY should e-mail the report to ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇.▇▇▇. COMPANY is also encouraged to list all efforts made during the quarter to increase its support of Diverse Suppliers. As soon as is commercially reasonable, COMPANY will have its representative contact PB’s Head of Global Supplier Diversity to receive an explanation of the quarterly reporting process.
SUPPLIER DIVERSITY PROGRAM. Supplier shall comply with the requirements of Aetna’s Supplier Diversity Program as detailed in the Supplier Diversity Exhibit D. Supplier shall submit to Aetna a quarterly report as described in the M/WBE Quarterly Results Report Exhibit.
SUPPLIER DIVERSITY PROGRAM. CPK has an established supplier development program to develop and maintain a qualified diverse supply base. CPK actively seeks diverse suppliers and encourages Seller to use diverse suppliers. A diverse supplier is a business establishment which meets one or more of the following criteria: (a) a small business, as defined in Title 15, Section 632 of the United States Code and related regulations; (b) a small business owned and controlled by socially disadvantaged individuals (at least fifty-one percent (51) percent of the business is owned and controlled by one or more socially and economically disadvantaged individuals and the management and daily business operations are controlled by one or more such individuals); (c) a business that is at least fifty-one percent (51) percent owned by a woman or women who also control and operate the business; (d) a small business that obtains HUBZone (Historically Underutilized Business Zone) certification (maintains a principal office in a HUBZone, at least fifty-one percent (51) percent of the business is owned and controlled by one or more U.S. citizens, and at least thirty-five percent (35%) of its employees reside in a HUBZone); (e) a business that is at least fifty-one percent (51) percent owned by a service-disabled veteran (an individual who has served in the U.S. armed forces and has received an honorable discharge documented by DD Form 214, Certificate of Release of Discharge from Active Duty) or veterans who also control and operate the business; (f) a business that is at least fifty-one percent (51) percent owned by a veteran or veterans who also control and operate the business; or (g) other categories of diverse businesses as CPK may include in its diversity supplier development program. 18.3 Where SUPPLIERS’s utilizes Small Businesses as distributors, SUPPLIER is requested to offer pricing to such distributors in order that ***may purchase from these distributors at the same price(s) as those identified in this Agreement.
18.4 For these purposes, the term “Small Business” shall mean a U.S. firm, including its affiliates, that is independently owned and operated, is not dominant in its field, and has been categorized by the United States Small Business Administration as “Small” in accordance with 13 CFR Part 121, Small Business Size Standards and shall include those certified as a Small Disadvantaged Business pursuant to National Defense Authorization Act, Public Law 99-681 of 1987, and/or a Woman Owned Small Business pursuant to the Federal Acquisition Streamlining Act, Public Law 103-355 of 1994, and/or a Hub-Zone Business pursuant to the Hub Zone Empowerment, Public Law 101-135 of 1997, and/or a business owned by a disabled veteran pursuant to the Disabled Veteran / Veteran Requirement, Public Law 93-237 of 1999.
