Support From The Parties. After a full investigation, discovery and arms-length negotiations, and after considering the risks and costs of further litigation, Plaintiffs and their counsel are satisfied that the terms and conditions of this Agreement are fair, reasonable, adequate, and equitable, and that this Settlement is in the best interest of the Settlement Class Members. Defendants and their counsel agree that the settlement is fair, adequate, and reasonable in light of the merits and risks of the case. While continuing to deny all allegations of wrongdoing and disclaiming any liability with respect to any and all claims, Defendants consider it desirable to resolve the controversy on the terms stated herein and have therefore determined that this Settlement is in its best interests. The Parties further agree that they shall support motions for entry of the Preliminary Approval Order and Final Approval Order.
