Support Rates. Commencing on the Effective Date, rates for extraordinary Millipore supervisory, operational assistance and technical support (as described in Section 3.2 hereof) that are currently in use by the parties during 2005 shall be applicable from the Effective Date through December 31, 2008. Commencing on January 1, 2009, rates for extraordinary Millipore supervisory, operational assistance and technical support (as described in Section 3.2 hereof) shall be as shown in Annex 1. These rates will be adjusted annually as of January 1 of each year, beginning in calendar year 2010, to reflect (i) the then most recent August-to-following-August percentage changes, up or down, in the Producer Price Index for the industry group Pharmaceutical Preparation Manufacturing (series identification number PCU325412325412) and (ii) any demonstrated increases in Millipore’s costs associated directly with providing such support hereunder and which costs are extraordinary, not presently anticipated and not reflected in the Producer Price Index used pursuant to clause (i) above.

Support Rates. A.4.4.1: Support Rates Support requested by SHELL or Affiliates of SHELL pursuant to Article 10.4 and subject to execution of a Support Agreement in the form of Appendix VI between SHELL or the Affiliate of SHELL as the case may be, and the LICENSOR, shall be charged at the following rates:

Support Rates. The Supplier acknowledges and agrees that any discounts submitted in relation to a further competition held in accordance with Framework Schedule 5 (Call Off Procedure) shall be equal to or higher than the Support Rates. The Supplier acknowledges and agrees that, subject to paragraph 60 of this Framework Schedule 3 (Adjustment of the Support Rates and Other Charges), the Support Rates cannot be decreased during the Framework Period. Subject to Schedule 21, the Supplier warrants, represents and undertakes that the Support Rates shall be 2% higher than any discount that the Supplier applies to the MRP of Equivalent Goods and/or Services, sold (or agreed to be sold) to Contracting Bodies outside of the Framework. For the avoidance of doubt, this paragraph does not apply where the Contracting Body is receiving a vehicle via a Requesting Body in accordance with Schedule 21.
