The Supplier's Obligations in Performing the Works on Site. Without derogating from the other obligations of the Supplier under this Agreement, the Supplier declares and undertakes as follows: 16.17.1. The Supplier undertakes to perform all of the Works in compliance with all Applicable Law. 16.17.2. Without derogating from the generality of the foregoing, the Supplier undertakes to obtain, at its own expense, any approval and/or permit, and to comply with the requirements of any law and/or legislation and/or standard applicable to the type of Works being performed by it pursuant to this Agreement. 16.17.3. The Supplier shall be responsible for all deductions that apply to it under Applicable Law, and to transfer them and/or pay them to the governments and/or authorities and/or competent institutions, as the case may be, and in accordance with the provisions deriving from this Agreement and/or the provisions of any Applicable Law. 16.17.4. The Supplier undertakes to perform the Works on Site in accordance with the terms of this Agreement, in accordance with safety rules and preserving them, and in accordance with the instructions of ASSOCIATION and/or its representatives. Supplier shall strictly fulfill all of the regulations and instructions of the competent authorities and in accordance with the provisions of Applicable Law, including the provisions of the Work Safety Ordinance and provisions of the Work Supervision Organization Law, 1954, and the Torts Ordinance and the regulations and orders promulgated thereunder, and to supply all required protective equipment. 16.17.5. The Supplier undertakes to take precautions to prevent fire and its spread, including at the time of or as a result of the use of Works that create heat or flames or sparks, such as, but not limited to, grinding, soldering, welding and cutting. 16.17.6. The Supplier shall provide certified training to its employees regarding safety while working. Furthermore, the Supplier shall have its employees sign a confirmation to the fact that they received and understood what was said in the training, as well as the obligation imposed on them to use personal protective equipment. In addition to the aforesaid, and without derogating from it, on every occasion that the Supplier shall arrive to maintain and/or repair its Works on Site, the Supplier shall, before starting the Works, provide a refresher training regarding the procedures instructions and work safety rules, shall ensure that the employees understand what is required of them under such procedur...

  • THE CUSTOMER’S OBLIGATIONS 6.1 If requested by WSS, the Customer shall (within a reasonable time period and in any event no later than seven (7) calendar days in advance of WSS performing the Safety Services) supply all drawings, technical documents, data and specifications necessary to allow WSS to perform the Safety Services ("Documentation"). Following the receipt of such Documentation from the Customer, WSS may, in its sole discretion, delay the performance of the Safety Services if the Documentation contains requirements that involve additional preparation time (including, by way of an example only, a requirement for additional parts that need to be ordered in advance). 6.2 Subject to Condition 2.3, the Customer shall confirm in writing to WSS the agreed Service Port and agreed date for the Safety Services to be carried out for each relevant ship. 6.3 The Customer shall ensure that the relevant ship is available at the agreed Service Port and agreed date for the Safety Services to be carried out. 6.4 The Customer shall provide any Orders to WSS with at least four (4) calendar days notice in advance of the date on which the Safety Services are required. Without prejudice to the foregoing notice period, WSS may accept Orders from Customers with a shorter notice period but shall be under no obligation to do so. Any Orders are subject to acceptance by WSS and WSS shall have no obligation to fulfil an Order submitted by the Customer unless the Order has already been accepted by WSS. Acceptance of an Order by WSS shall be indicated either in writing by WSS or by commencing the performance of the relevant Safety Services by WSS. 6.5 If an Order is placed by the Customer as an agent for a principal (disclosed or undisclosed) then the Customer shall be jointly and severally liable with such principal for the payments of all amounts (including the Charges) due to WSS in connection with the performance of the Safety Services. 6.6 The Customer shall, at all times, comply with any warnings, instructions or safety rules provided to it by WSS from time to time. 6.7 The Customer shall, at all times, comply with, and apply best industry practice at all times in relation to storage, handling and use of all the Safety Equipment. 6.8 The Customer shall inform WSS and keep WSS informed of any applicable laws and regulations in connection with the performance or receipt of the Safety Services. 6.9 The Customer shall take all necessary steps to ensure that it is safe on board the vessels for WSS to perform the Safety Services.

  • The Supplier's Obligations The Supplier shall in writing, by the time and date specified by the Contracting Body following an invitation to tender pursuant to paragraph 2.1.3 above provide the Contracting Body with either:

  • Customer’s Obligations 8.1 The Customer shall: (a) ensure that the terms of the Order and (if submitted by the Customer) the Goods Specification are complete and accurate; (b) co-operate with the Supplier in all matters relating to the Services; (c) provide the Supplier, its employees, agents, consultants and subcontractors, with access to the Customer's premises, office accommodation and other facilities as reasonably required by the Supplier to provide the Services; (d) provide the Supplier with such information and materials as the Supplier may reasonably require to supply the Services, and ensure that such information is accurate in all material respects; (e) obtain and maintain all necessary licences, permissions and consents which may be required for the Services before the date on which the Services are to start; (f) keep and maintain all materials, equipment, documents and other property of the Supplier (Supplier Materials) at the Customer's premises in safe custody at its own risk, maintain the Supplier Materials in good condition until returned to the Supplier, and not dispose of or use the Supplier Materials other than in accordance with the Supplier's written instructions or authorisation; and 8.2 If the Supplier's performance of any of its obligations in respect of the Services is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (Customer Default): (a) the Supplier shall without limiting its other rights or remedies have the right to suspend performance of the Services until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations to the extent the Customer Default prevents or delays the Supplier's performance of any of its obligations; (b) the Supplier shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from the Supplier's failure or delay to perform any of its obligations as set out in this clause 8.2; and (c) the Customer shall reimburse the Supplier on written demand for any costs or losses sustained or incurred by the Supplier arising directly or indirectly from the Customer Default.

  • Independent Nature of Buyers’ Obligations and Rights The obligations of each Buyer under the Transaction Documents are several and not joint with the obligations of any other Buyer, and no Buyer shall be responsible in any way for the performance of the obligations of any other Buyer under any Transaction Document. Nothing contained herein or in any other Transaction Document, and no action taken by any Buyer pursuant hereto or thereto, shall be deemed to constitute the Buyers as, and the Company acknowledges that the Buyers do not so constitute, a partnership, an association, a joint venture or any other kind of group or entity, or create a presumption that the Buyers are in any way acting in concert or as a group or entity, and the Company shall not assert any such claim with respect to such obligations or the transactions contemplated by the Transaction Documents or any matters, and the Company acknowledges that the Buyers are not acting in concert or as a group, and the Company shall not assert any such claim, with respect to such obligations or the transactions contemplated by the Transaction Documents. The decision of each Buyer to purchase Securities pursuant to the Transaction Documents has been made by such Buyer independently of any other Buyer. Each Buyer acknowledges that no other Buyer has acted as agent for such Buyer in connection with such Buyer making its investment hereunder and that no other Buyer will be acting as agent of such Buyer in connection with monitoring such Buyer’s investment in the Securities or enforcing its rights under the Transaction Documents. The Company and each Buyer confirms that each Buyer has independently participated with the Company and its Subsidiaries in the negotiation of the transaction contemplated hereby with the advice of its own counsel and advisors. Each Buyer shall be entitled to independently protect and enforce its rights, including, without limitation, the rights arising out of this Agreement or out of any other Transaction Documents, and it shall not be necessary for any other Buyer to be joined as an additional party in any proceeding for such purpose. The use of a single agreement to effectuate the purchase and sale of the Securities contemplated hereby was solely in the control of the Company, not the action or decision of any Buyer, and was done solely for the convenience of the Company and its Subsidiaries and not because it was required or requested to do so by any Buyer. It is expressly understood and agreed that each provision contained in this Agreement and in each other Transaction Document is between the Company, each Subsidiary and a Buyer, solely, and not between the Company, its Subsidiaries and the Buyers collectively and not between and among the Buyers.

  • SUPPLIER’S OBLIGATIONS 6.1. The Supplier shall perform the Services substantially in accordance with the Service Definition Document and with reasonable skill and care. 6.2. Clause 6.1 shall not apply to the extent of any non-conformance which is caused by use of the Services by the Customer contrary to the Supplier's instructions, or modification or alteration of the Services by any party other than the Supplier or the Supplier's duly authorised contractors or agents. If the Services do not conform with the provisions of clause 6.1, the Supplier will, at its expense, use reasonable endeavours to correct any such non-conformance promptly, or provide the Customer with an alternative means of accomplishing the desired performance. Such correction or substitution constitutes the Customer's sole and exclusive remedy for any breach of clause 6.1. Notwithstanding the foregoing, the Supplier: 6.2.1. does not warrant that the Customer's use of the Services will be uninterrupted or error-free; or that the Services, Service Definition Document and/or the information obtained by the Customer through the Services will meet the Customer's requirements; and 6.2.2. is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the Customer acknowledges that the Services and Service Definition Document may be subject to limitations, delays and other problems inherent in the use of such communications facilities. 6.3. This agreement shall not prevent the Supplier from entering into similar agreements with third parties, or from independently developing, using, selling or licensing documentation, products and/or services which are similar to those provided under this agreement. 6.4. The Supplier warrants that it has and will maintain all necessary licences, consents, and permissions necessary for the performance of its obligations under this agreement.
