Time to Perform Services. Consultant shall perform the Services in accordance with the schedule set forth in Exhibit “C” attached hereto and incorporated herein by reference. Consultant shall commence work immediately upon receipt of a notice to proceed from M1W. M1W will have no obligation to pay for any Services rendered by Consultant in advance of receipt of the notice to proceed, and Consultant acknowledges that any such services are at Consultant’s own risk. (a) Consultant shall confer as requested with M1W representatives to review progress of work elements, adherence to work schedule, coordination of work, scheduling of review and resolution of problems which may develop. Consultant shall coordinate with, and be available at all reasonable times to, M1W’s staff, contractors and consultants in the performance of the Services. (b) In the event of a problem or potential problem that could impact the quality or quantity of work, Services or the level of performance under this Agreement, the Consultant shall, within one (1) business day of actual knowledge of the problem or potential problem, notify M1W in writing and by telephone. (c) If Consultant does not perform the Services in accordance with the approved schedule, or any milestones established therein, M1W will suffer damages for which Consultant will be responsible. (d) In the event that Consultant is unable to meet the completion date or schedule of Services, if any, due to circumstances that directly impact Consultant’s ability to perform the Services and are beyond Consultant’s reasonable control, such as war, riots, pandemic, epidemic, strikes, lockouts, work slow-down or stoppage, except strikes, lockouts, or work slow-down or stoppage of Consultant’s employees or subcontractors, acts of God, such as floods or earthquakes, and electrical blackouts or brownouts, Consultant shall immediately inform M1W of the additional time required to perform the work and M1W may adjust the schedule.

  • Authorization to Perform Services The Consultant is not authorized to perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of authorization from the Contract Administrator.

  • Ability to Perform The Servicer does not believe, nor does it have any reason or cause to believe, that it cannot perform each and every covenant contained in this Agreement;
