Transition Managers. Transition Managers. In order to facilitate the general intent and the terms of this Agreement, Transferor and SpinCo have designated the individual opposite such Party below as transition manager (each, a “Transition Manager”) to coordinate and manage the Services hereunder and to serve as the principal contact in connection with the Services: For Transferor: M▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ For SpinCo: F▇▇▇ ▇▇▇▇ The Transition Managers will meet as they determine to be necessary and desirable. 2.1.1 Transition Managers a) [*]
Transition Managers. Each Party shall appoint an individual to act as the primary point of operational contact for the administration and operation of this TSA (each, a “Transition Manager”). Each Transition Manager shall have overall responsibility for (1) coordinating, on behalf of the Seller Parties or Buyer, as applicable, all activities undertaken by the Seller Parties or Buyer, as applicable, hereunder, (2) coordinating the provision of the applicable Transition Services, (3) acting as a day-to-day contact with the other Party’s Transition Manager, and (4) making available to the other Party the data, facilities, resources and other support services required for the respective Parties to be able to provide the applicable Transition Services in accordance with the requirements of this TSA. Either Party may change its Transition Manager by providing written notice to the other Party.
Transition Managers. Schedule A sets forth the primary point person for each of the Transition Services (each, a “Transition Manager”). Each Transition Manager shall have overall responsibility for (a) coordinating, on behalf of Seller or Buyer, as applicable, the activities undertaken by Seller or Buyer, hereunder, with respect to such Transition Manager’s applicable Transition Service, (b) coordinating the provision of the applicable Transition Service, and (c) acting as the contact with the other Party’s applicable Transition Manager. Either Party may change any of its Transition Managers by providing written notice to the other Party.
Transition Managers. Supplier shall designate an individual who shall be responsible for managing and implementing the Transition Services (the “Supplier Transition Director”), as well as individuals for each of the agreed upon LS&Co.’s facilities and functions affected by the transition (“Individual Transition Managers”) who shall be responsible for managing and implementing the Transition Services specific to such facilities and functions. Unless otherwise expressly specified in the Transition Plan, there shall be no charges for the Transition Services other than the Transition Charges. Until the completion of the applicable Transition Services, the Supplier Transition Director and each Individual Transition Manager shall review with the LS&Co. Governance Executive the status of the Transition Services as requested by the LS&Co. Governance Executive.
Transition Managers. Each party hereto will appoint and identify to the other one or more of its key management personnel who shall be available to convey any and all decisions and, with respect to Seller, to establish any and all policies and practices relating to the provision of the Services by Seller hereunder. Such persons shall work and cooperate with each other and assume overall responsibility for managing the transition of the Cellular Business. The initial appointments of Seller and Purchaser of such key management personnel are set forth on Exhibit "4.1" attached hereto. All notices required under Section 2.5 shall be delivered to such named transition manager.
Transition Managers. The Service Provider shall appoint suitably qualified “Transition Managers”, provided that the Customer has a right to veto the Service Provider’s proposed appointment in accordance with clause 15 (Personnel) of the Agreement. The Transition Managers shall also manage the provision of Committed Transformation. While certain individual Transition Managers may be designated “Committed Transformation Managers”, references to Transition Managers in this Schedule shall be deemed to include any individual appointed as a Committed Transformation Manager, albeit such individuals shall also comply with all obligations identified herein as applying to Transformation Managers. Transition Managers. Throughout the Term, each Party shall maintain a designated point person responsible for overseeing, and communicating with the other Party with respect to, the performance of the Transition Services (each a “Transition Manager”). The Transition Managers shall have knowledge of their respective Party’s operations and shall be charged with, among other tasks, helping to resolve disputes and other issues raised by either Party with respect to the Transition Services. As of the Termination Effective Date, the Transition Manager for Immunomedics is , and the Transition Manager for Everest is .
Transition Managers. Each Party shall appoint a senior representative who possesses a full understanding of the relevant operational, regulatory, commercial and legal issues to act as its Transition Manager (each, a “TM” or “Transition Manager”). The initial Transition Manager for each Party is set forth on Schedule 6.1. Any replacements or proxies for the foregoing persons shall be equivalently senior personnel. Each Party’s Transition Manager will be the primary contact with the other Party in connection with the ongoing, day-to-day implementation of this Agreement, the New Agreements and the Quality Agreements, and for obtaining any consents or approvals of the other Party required hereby. The TMs shall be responsible for: (a) seeking consensus (both internally, within his/her respective Party’s organization, as well as between the Parties) regarding key transition issues that arise under this Agreement, the New Agreements and the Quality Agreements; (b) identifying and raising issues to the PTC in a timely manner; (c) assisting the PTC co-chairs in setting appropriate meeting agendas, attending PTC meetings and preparing meeting minutes, as appropriate, in a format agreed upon with the PTC; and (d) in collaboration with the other TM, drafting and revising on a regular basis a monthly executive summary of the status of the transition hereunder, in a format agreed upon with the PTC, and providing such summary to the PTC.
