Trust Relationship Clause Samples

Trust Relationship. Employee understands that employment with the Company creates a relationship of confidence and trust between the Employee and the Company with respect to the Employee's care, use, and treatment of Intellectual Property and Confidential Information of the Company.

Trust Relationship. The creation of any trust relationship by the Borrower on behalf of the Banks;

Trust Relationship. A trust (and not a partnership, joint stock association, corporation, limited liability company, bailment or any other non-trust relationship), is created by this Declaration. The relationship of the Shareholders to the Trustees is solely that of cestuis que trustent, and neither the Shareholders nor the Trustees are partners.

Trust Relationship. Contractor (i) agrees to furnish its best skill and judgment in connection with the Project, and (ii) agrees to cooperate reasonably with Owner, the Design Team, Consultants and Lender in the interests of the timely and economic completion of each Project Phase. Owner understands and agrees that its assistance and cooperation is essential to Contractor’s successful and timely completion of the Work. Owner and its agents shall be available upon twenty-four (24) hours notice during business hours during business days to review and discuss any issues or questions that may arise during Contractor’s performance of the Work. Should Owner be unavailable, the time fixed for completion shall be equitably extended for delays actually documented and directly caused thereby, and which shall be agreed upon in a Change Order.

Trust Relationship. Design-Builder accepts the relationship of trust and confidence created by this Agreement, and will operate in a manner that consistently evidences its allegiance to THPRD. Throughout the course of the Project, Design-Builder will (a) exercise skill and judgment that furthers the interests of THPRD, (b) furnish efficient business administration and supervision, (c) conduct the Work in an expeditious manner consistent with THPRD's Criteria, (d) perform the Work for a cost that does not exceed the lesser of the Contract Sum or Guaranteed Maximum Price, (e) assist THPRD with responding to inspections or reviews by governing authorities, (f) guard THPRD against conduct by Design-Builder's Subcontractors or Personnel, that fails to align with THPRD's interests, (g) avoid conflicts of interest and promptly disclose to THPRD any conflicts that may arise, and (h) refrain from paying or receiving any contingent fees or gratuities to or from its Personnel, Subcontractors, or others for whom Design-Builder may be liable, to secure preferential treatment.

Trust Relationship. Developer accepts the relationship of trust and confidence established between it and Owner by this Agreement. Developer covenants with Owner to furnish its best skill and judgment and to cooperate with the Architect and Owner (and any Inspecting Architect engaged by Owner) in furthering the interests of Owner. Developer shall furnish efficient business administration and superintendence and shall cause (subject to Unavoidable Delay) the Contractor to furnish, at all times, an adequate supply of workmen and materials, and to perform the Work in the best way and in the most expeditious and economical matter, consistent with the interests of Owner. Except as expressly authorized in this Agreement, Developer has no right or authority of any kind for or on behalf of Owner.

Trust Relationship. The creation of any trust relationship by the Grantor on behalf of Beneficiary or any Lender;

Trust Relationship. The creation of any trust relationship by the Borrower, other than the conveyance of the Premises to the trustee named in the Deed of Trust.
