Unauthorized Overpayments Clause Samples

The Unauthorized Overpayments clause defines the procedures and responsibilities related to payments made in excess of what is owed, where such payments were not authorized by the receiving party. Typically, this clause requires the recipient to promptly notify the payer of any overpayment and to return the excess funds within a specified timeframe. For example, if a vendor receives a payment that exceeds the invoiced amount, they must alert the client and refund the surplus. The core function of this clause is to prevent unjust enrichment and ensure financial accuracy by providing a clear process for correcting payment errors.
