Common use of Unauthorized Settlements Clause in Contracts

Unauthorized Settlements. To indemnify Indemnitee under ------------------------ under this Agreement for any amounts paid in settlement of any Proceeding covered hereby without the prior written consent of the Company to such settlement, which consent shall not be unreasonably withheld.
