Vessel Delivery Clause Samples

The Vessel Delivery clause defines the terms and conditions under which a vessel is formally handed over from the seller to the buyer. It typically specifies the location, date, and required condition of the vessel at the time of delivery, as well as any documentation or inspections that must be completed. This clause ensures both parties have a clear understanding of when and how ownership and responsibility for the vessel transfer, thereby minimizing disputes and clarifying obligations at the point of delivery.
Vessel Delivery. The Facility Agent shall be satisfied that satisfactory arrangements have been made for (x) the registration of the Vessel being delivered in the name of the Borrower under M▇▇▇▇▇▇▇ Islands flag, (y) the execution of its Mortgage and (z) the recordation of its Mortgage with the appropriate authorities in the Republic of the M▇▇▇▇▇▇▇ Islands, in each case on the opening of business on the Banking Day immediately following the delivery of the Vessel to the Borrower.
Vessel Delivery. The Facility Agent shall be satisfied that satisfactory arrangements have been made for (x) the registration of the relevant Vessel in the name of the applicable Borrower under the United States or Panamanian flag (as applicable), (y) the execution of its Mortgage or Mortgages (as applicable) and (z) the recordation of its Mortgage or Mortgages (as applicable) with the National Vessel Documentation Center of the United States Coast Guard or the appropriate authorities in the Republic of Panama (as applicable).
Vessel Delivery. The Vessel’s home berth is located in Loggerhead Marina, Riviera Beach, Florida (“Home Berth”) with a secondary location in Lake Park Marina, Lake Park Florida (“Secondary Location”) used for all customer pick up and drop off. If CHARTERER specifies a Delivery or Re-Delivery Location other than the Vessel’s Secondary Location, CHARTERER may be responsible for fees incurred to move the Vessel to and from the Secondary Location, including crew wages, fuel, and any other related costs. At the beginning of the Charter Period, the COMPANY will deliver the Vessel at the Place of Delivery, and the CHARTERER will take delivery of the Vessel, in full commission and working order, seaworthy, clean, in good condition throughout, with tanks filled and ready for service, with all equipment required by the U.S. Coast Guard, including current safety and life-saving equipment (including life-jackets for children, if any of the CHARTERER’s guests are children).
Vessel Delivery. The Facility Agent shall be satisfied that the Vessel shall be delivered to the Borrower within two (2) Banking Days of the Drawdown Date and that satisfactory arrangements have been made for (x) the registration of the Vessel in the name of the Borrower under United States flag, (y) the execution of the Mortgage and (z) the recordation of the Mortgage with the National Vessel Documentation Center of the United States Coast Guard, in each case on the opening of business on the Banking Day immediately following the delivery of the Vessel to the Borrower.
