Warrantholder not a Shareholder. Except as may be specifically provided herein, nothing in this Indenture or in the holding of a Warrant Certificate, entitlement to a Warrant or otherwise, shall, in itself, confer or be construed as conferring upon a Warrantholder any right or interest whatsoever as a Shareholder, including, but not limited to, the right to vote at, to receive notice of, or to attend, meetings of Shareholders or any other proceedings of the Corporation, or the right to Dividends and other allocations.

Warrantholder not a Shareholder. The Warrant shall not constitute the holder a shareholder of the Company, nor entitle it to any right or interest in respect thereof except as may be expressly provided in the Warrant.

Warrantholder not a Shareholder. Nothing in this Indenture or in the ownership of a Warrant evidenced by a Warrant Certificate, or otherwise, will be construed as conferring on a Warrantholder any right or interest whatsoever as a Shareholder of the Company, including but not limited to any right to vote at, to receive notice of, or to attend, any meeting of Shareholders or any other proceeding of the Company or any right to receive any dividend or other distribution.

Warrantholder not a Shareholder. Nothing in this Indenture or in the holding of a Warrant evidenced by a Warrant Certificate, or otherwise, is intended or will confer or be construed as conferring on any Warrantholder any right or interest whatsoever as a shareholder of WorldHeart, including but not limited to any right to vote at, to receive notice of, or to attend any meeting of shareholders or any other proceeding of WorldHeart or any right to receive any dividend or other distribution to which the shareholders of WorldHeart may be entitled.

Warrantholder not a Shareholder. The Warrantholder, as the holder of the Warrant, shall not be, and shall not have any of the rights or privileges of, a Shareholder of SGI with respect to the Shares purchasable hereunder, unless and until the Shares shall have been issued and delivered to such Warrantholder in accordance with this Warrant Agreement.
