Conditions Precedent and Subsequent Clause Samples

The "Conditions Precedent and Subsequent" clause defines specific events or requirements that must be satisfied either before a contract becomes effective (conditions precedent) or after it has taken effect (conditions subsequent). For example, a condition precedent might require a party to obtain regulatory approval before the agreement is binding, while a condition subsequent could stipulate that the contract will terminate if a certain event occurs after signing. This clause ensures that contractual obligations are only enforceable when certain criteria are met, thereby managing risk and clarifying the circumstances under which the agreement is valid or may be terminated.
