(d) GLB shall have received all state securities and "blue sky" permits and other authorizations and approvals necessary to consummate the Merger and the transactions contemplated hereby, no order restraining the ability of GLB to issue GLB Common Stock pursuant to the Merger shall have been issued and no proceedings for that purpose shall have been initiated or, to the knowledge of the parties, threatened by any state securities administrator. (e) The shares of GLB Common Stock to be issued in connection with the Merger shall have been approved for listing or trading on the Nasdaq SmallCap Market...

Common Stock in exchange for Shares in the Merger.
