FMV Calculation Date definition

FMV Calculation Date means: (i) if the Termination Event is a termination by the Company or any of its Subsidiaries without Cause or a resignation by the Grantee with Good Reason: (A) if the Exercise Date occurred 180 days or more before the Termination Date, the Termination Date, and (B) if the Exercise Date occurred 179 days or less before the Termination Date or occurs after the Termination Date, then the Call Notice Date; (ii) if the Termination Event is as a result of the death or Disability of the Grantee, then the Termination Date; and (iii) if the Termination Event is a termination by the Company or any of its Subsidiaries with Cause, or a resignation by the Grantee without Good Reason, then the Termination Date.
FMV Calculation Date means: (i) if the Termination Event is a termination by the Company or any of its Subsidiaries without Cause, a resignation by the Grantee with Good Reason or a resignation by the Grantee without Good Reason [after three years of Service]: (A) if the Exercise Date occurred 180 days or more before the Termination Date, the Termination Date, and (B) if the Exercise Date occurred 179 days or less before the Termination Date or occurs after the Termination Date, then the Call Notice Date; (ii) if the Termination Event is as a result of the death or Disability of the Grantee, then the Termination Date; and (iii) if the Termination Event is a termination by the Company or any of its Subsidiaries with Cause, or a resignation by the Grantee without Good Reason during the Grantee’s, then the Termination Date.
FMV Calculation Date means the Termination Date.

  • Subject to Section 6(c), the Termination Price of a Restricted Share shall be the lower of (1) the Fair Market Value on the FMV Calculation Date and (2) the 83(b) Cost; it being understood and agreed that, if on the Termination Date any Restricted Shares are unvested, such unvested Restricted Shares shall be cancelled and forfeited automatically without any further action by the Company.

FMV Calculation Date means, with respect to the application of the provisions of Section 3.5 to a Terminated Management Shareholder: (i) with respect to Incentive Securities that were purchased from the Company on an Exercise Date more than six months before the Termination Date, the Termination Date with respect to such Management Shareholder; or (ii) with respect to Incentive Securities that were purchased on an Exercise Date either less than six months before the Termination Date or after the Termination Date, the Call Notice Date with respect to such Termination Securities;
