Grant Date Fair Value means a value arrived at by projecting future stock prices for the Company and the Peer Companies while allowing for greater flexibility and customization of the assumptions and plan design parameters which is necessary to value the Adjusted EBITDA RSUs with a Relative TSR Multiplier.
Grant Date Fair Value means the fair value of a given equity award as determined in accordance with GAAP for purposes of reporting any such award in the grantor’s financial statements.

Grant Date Fair Value means the value of one Restricted Share Unit subject to the terms of this Certificate calculated as of the close of business on the Grant Date based on the estimated value, as determined by the Company in its sole discretion, expected to be used by the Company for accounting purposes.

Grant Date Fair Value shall be the ten (10) day trading average of the Company’s common stock preceding the Grant Date. The Initial Grant shall vest ratably over four years, with 25% of the Initial Grant vesting on the first anniversary of the grant date, and the remainder of the Initial Grant vesting in equal monthly installments thereafter so long as Employee remains employed with the Company on each vesting date. The Initial Grant shall vest 100% upon the closing of a Change in Control (as defined in the Company’s 2022 Incentive Award Plan, as amended from time to time (the “Plan”)), subject to Employee’s valid and timely execution and nonrevocation of the Company’s Release (as defined below). Except as otherwise stated herein, the Initial Grant shall be subject to the terms, definitions and provisions of the Company’s 2022 Incentive Award Plan and the applicable award agreement, including with respect to vesting and forfeiture.
