Mechanical Availability definition

Mechanical Availability means the percentage of time that the Facility is capable of producing Energy during a Contract Year and is calculated as follows:
Mechanical Availability means, for any Rolling Availability Period, the ratio, expressed as a percentage, of (a) the aggregate sum of the number of calendar days during which at least eighty-five percent (85%) of the Solar Panels installed at the Facility were available to generate electricity during such Rolling Availability Period over (b) the total number of calendar days in such Rolling Availability Period; provided that, the Solar Panels installed at the Facility shall be “available” during (a) all Seller Uncontrollable Minutes except for days where Planned Outages result in less than eighty-five percent (85%) of the Solar Panels installed at the Facility being available to generate electricity and (b) periods in which (i) the Facility is unavailable due to a failure of major equipment and (ii) Seller has provided Buyer, within twenty (20) Business Days after such failure, a remediation plan that is reasonably satisfactory to Buyer setting forth how the repair or replacement of such major equipment will be effected.
Mechanical Availability measured for each Contract Year, the percentage of time that the Facility is capable of producing Net Energy during a Contract Year.   • For each month the Mechanical Availability Percentage shall be calculated and rounded to the nearest full percentage.

  • The provisions of this Section 4.01 shall be the exclusive remedies of Department for Seller's failure to meet a specific Mechanical Availability Percentage so long as such failure is not due to intentional conduct of Seller.

  • Department shall not be entitled to any liquidated damages hereunder to the extent that Seller's failure to achieve a specific Mechanical Availability Percentage was caused by (i) Department or any of its agents, contractors, vendors or employees, (ii) an Uncontrollable Force, or (iii) a Delivery Event.

  • Mechanical Availability Damages will be billed to the Seller annually after the end of each Contract Year and Seller shall make payment in full within ten (10) business days of date of the billing.

  • Commencing on the first day of the second Commercial Operation Year and for the reminder of the Term, Seller guarantees that the Facility shall have achieved an average annual Actual Availability Percentage during each Availability Period equal to or greater than ninety percent (90%) for the Term (a “Guaranteed Mechanical Availability Percentage”).

  • Statistics shall be kept for all units of Equipment and Replacement Equipment to determine the Operating Time, Delay Time, Mechanical Down Time and Idle Time and these shall be used to calculate the Mechanical Availability, Effective Utilization, Overall Utilization and Operating Efficiency for each unit.

  • Seller guarantees that beginning with the third Contract Year the annual Mechanical Availability of the Facility shall be no less than 90 percent.


More Definitions of Mechanical Availability

Mechanical Availability means the percentage of time each month that our Contract Services equipment is mechanically available to compress gas under the design and operating conditions set forth in the applicable contracts governing each piece of Contract Services equipment.
Mechanical Availability. For each Contract Year, (i) the sum of all hours the Project is available to produce energy, plus customary “deemed available” hours based on Non-Economic Curtailment and limited amounts of planned maintenance, divided by (ii) the total number of hours in such year.

  • System Availability means, with respect to any particular calendar month, the ratio obtained by subtracting Unscheduled Downtime during such month from the Total Monthly Time, and thereafter dividing the difference so obtained by the Total Monthly Time. Represented algebraically, System Availability for any particular calendar month is determined as follows:

  • General Availability means the date a version of Software was first made available to be licensed by Sandvine customers.
