New Class A Notes definition

New Class A Notes means the new senior notes to be issued by us for cash under the Indenture, secured by the Eligible Underlying Assets that previously secured Outstanding Securities that are the subject of a Resecuritization Process, as described herein.
New Class A Notes means Class A Notes which refinanced the Repaid Class A Notes pursuant to Section 3.9 of the Participation Agreement.

Examples of New Class A Notes in a sentence

  • At such time, if any, as this Note is issued in the form of one or more Definitive Notes, payments on a Payment Date shall be made by check mailed to each Noteholder of such a Definitive Note on the applicable Record Date at its address appearing on the Register maintained with respect to the New Class A Notes.

  • If any interest payment is not made when due on a Payment Date, the unpaid portion of such interest payment will accrue interest at the rate then applicable to the New Class A Notes, compounded quarterly, until paid in full.

  • Solely for purposes of the New Class A Notes, Exhibit D to the Original Indenture is hereby replaced by Exhibit D to this First Supplemental Indenture.

  • The New Class A Notes are issuable only in registered form in denominations as provided in the Indenture, subject to certain limitations therein set forth.

  • The Issuer is permitted by the Indenture, under certain circumstances, to merge or consolidate, subject to the rights of the Trustee and the Noteholders of New Class A Notes under the Indenture.

  • The indebtedness evidenced by the New Class A Notes is, to the extent and in the manner provided in the Indenture, senior in right of payment to the right of payment of the Class B Notes, and this Note is issued subject to such provisions.

Related to New Class A Notes

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.

  • Class B Notes means any one of the Notes executed by the Issuer and authenticated by or on behalf of the Indenture Trustee, substantially in the form of Exhibit A-2.

  • Class A Note Balance means, at any time, the sum of the Class A-1 Note Balance, the Class A-2 Note Balance and the Class A-3 Note Balance at such time.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A Note means a Class A-1 Note, a Class A-2 Note, a Class A-3 Note or a Class A-4 Note.
