The Piggyback Notice shall offer the Holder the opportunity to include for registration in such Piggyback Registration Statement the number of Registrable Securities as such Holder may request in its sole discretion (a “Piggyback Request”).
Subject to Section 9(c), the Company shall include in each such Piggyback Registration the Underlying Shares issuable to the Subscribers (each, a “Piggyback Seller”) with respect to which the Company has received written requests (which written requests shall specify the number of Preferred Stock and Underlying Shares requested to be disposed of by such Piggyback Seller) for inclusion therein within 15 days after such Piggyback Notice is received by such Piggyback Seller.
Each Investor shall have five (5) Business Days (except in the case of a Bought Deal, in which case, (1) Business Day) from the date of receipt of the Piggyback Notice to deliver to the Company a written request specifying the number of Registrable Securities such Investor intends to include in the registration.
Subject to Section 7.4(b), the Company shall include in each such Piggyback Registration such Registrable Securities for which the Company has received the Piggyback Request within five (5) Business Days after mailing of the Piggyback Notice.
