System Performance definition

System Performance shall have the meaning specified in Section 2.2 (Definitions) of Exhibit D (Service Level Agreement).

System Performance means: the System’s page load times for all customary inputs and updates. You can access the System and, when performing all routine functions, will have responsive System Performance as set forth in the Service Level. Ninety-nine and five- tenths percent (99.5%) System Availability per calendar month. Average System Performance under seven seconds per calendar month. Issues reported by You (each, an “Issue”) are assigned one of four Issue categories by Us based on the process described below: ● You notify Us and provide an Issue Description as defined in this Agreement. ● We open a case (a “Case”), categorize the Issue and begin tracking the time until the Case is closed. ● We acknowledge the Issue by email. ● We commence work to resolve the Issue. ● We provide status updates to You via email when a Case status changes until We close the Case. ● We provide continuous Issue isolation, determination and support. ● We implement a Solution to resolve the Issue as soon as available. All Service Levels listed below are measured on a calendar month basis.

System Performance. The Services provided by the MerlinOne System and network will meet or exceed the System performance requirements stated in Paragraph 1.2.3 above. If these performance levels are not met, then, MerlinOne will provide Customer with the following credits on the next invoice:

These Network Standards Documents are, subject to the terms and conditions of this Agreement including, without limitation, this Schedule E-3, hereby incorporated into and form a part of this Agreement. In the event of any inconsistency between any part of a Network Standards Document and the provisions of this Schedule E-3, the provisions of this Schedule E-3 shall govern. Notwithstanding anything else in this Agreement including, without limitation, this Schedule E-3, the parties acknowledge and confirm that the Network Standards Documents represent the standards and metrics currently identified by AWS as applicable to each Category. Target values for key quality related metrics are contained herein and must be met. In addition, the parties acknowledge and confirm that the Network Standards Documents are subject to revision and such subsequent revisions to these Network Standards Documents, as well as the Call Center Quality Standards, will constitute an additional Category once they are formally implemented to be complied with, in accordance with this Agreement.
