Approved Project. This Agreement is intended only and solely to allow partial abatement of the sales and use taxes and/or property taxes upon Owner’s ESCAPE SOLAR, LLC (Facility) according to the representations made in Owner’s Application Filing No. (AFN) 24- 0305SPV (Application) filed March 4, 2024, the Findings of Fact, Conclusions of Law, and Order (Order) issued by the Director on May 9, 2024 regarding AFN 24-0305SPV resultant from a public hearing held by the Director on May 9, 2024.
Approved Project. A Construction Project or design of a Construction Project funded partially or in whole by Prepayments and approved by the Participants.
Approved Project. 9.1 The Parties acknowledge and agree that, as at the Commencement Date of this Deed, You are responsible for carrying out the Activities for the Approved Project, as described in Schedule A. 9.2 You must carry out the Activities for the Permitted Purpose and in furtherance of the Objectives. 9.3 The EPA will have no liability or responsibility with respect to the cost of carrying out the Activities and the costs incurred by You in discharging Your responsibilities and performing Your obligations, under this Deed beyond the Grant.

An entity with one or more contractAgreements with WAPA, with a term of at least one year, for i) firm-point-to-point or network transmission service on the ▇▇▇▇▇▇-▇▇▇▇▇ Project or Intertie Project systems; ii) firm electric service and/or ▇▇▇▇▇▇-▇▇▇▇▇ Project Priority Use Power service from Federal hydropower projects that include transmission service on the ▇▇▇▇▇▇-▇▇▇▇▇ Project or Intertie Project systems; or iii) firm transmission service on the ▇▇▇▇▇▇-▇▇▇▇▇ Project or Intertie Project systems. Customer Funded Projects. Customer Funded Projects are those projects and facilities, including RRADs, that are: (1) funded and constructed by a Customer; (2) connected to and integrated with the Desert Southwest Region Systems; (3) operated by DSW or WAPA but still owned by the Customer, such as through a lease agreement; and (4) whose costs incurred by WAPA or DSW in operating and maintaining the same should be excluded from the rates until the asset is transferred to the Desert Southwest Region Systems..
Approved Project. The Port’s approval of the Project, identification of the Eligible Tenant Improvements and establishment of the Tenant Reimbursement Amount are all predicated on its review of the Project Documents. These Project Documents are specifically incorporated into this Agreement by this reference. Tenant acknowledges that any changes to the Project from that reflected in the Project Documents may affect the Port’s approval, the determination of the Eligible Tenant Improvements and/or the Tenant Reimbursement Amount.
Approved Project. The Subject Project shall be an Approved Project as of the Credit Event Date.
Approved Project. If the Initial Project is an Approved Project, the conditions set forth in Section 6.4 shall be satisfied with respect to the Approved Project Company that owns the Initial Project; provided that the condition set forth in clause (iii) of Section 6.4(b) shall require the prepayment of Loans in an amount equal to the greater of (a) the amount of Loans that would otherwise be required to be prepaid pursuant such clause (iii) and (b) the aggregate amount of Loans borrowed hereunder in respect of the Initial Project that are outstanding as of the date on which the replacement occurs.
Approved Project. Concessionaire’s construction, furnishing, fixturing, and remodeling of any portion of the Premises as reviewed and approved by City in accordance with the Tenant Work Permit Handbook.
Approved Project. The Recipient must use the Grant solely for carrying out the Project, or as otherwise agreed by the Parties in writing. The Recipient must carry out the Project fully, properly, competently, carefully, diligently and efficiently in accordance with the terms and conditions of this Agreement. The Recipient must use the Grant efficiently and not extravagantly, wastefully or irresponsibly.
Approved Project. If a New Project receives Stage 2 Approval, the LEP: will carry out further work to develop appropriate Project Agreements to implement the New Project on the terms of the Stage 2 Submission (as the same may be amended from time to time by agreement between the LEP and the Local Authority); shall be responsible for providing to the Local Authority, free of charge such technical information, assistance and advice as the Local Authority may reasonably require in connection with the design and construction of any Relevant Facilities and for obtaining all Consents which may be required for the performance of the SPA Operations. The Local Authority shall notify the LEP as soon as it becomes aware of any matter which may have a reasonably foreseeable material adverse effect on the viability of a New Project receiving Stage 2 Approval, including any: planning issues likely to cause a material delay in the anticipated programme for the New Project or material cost increases (whether on an aggregate basis or on a line by line basis); changes to funding which the Local Authority receives or to the way in which funding may be applied, either or both of which may affect whether a New Project is Affordable. The Local Authority shall provide reasonable assistance to the LEP in relation to the procurement by the LEP of all relevant Consents and the entering into of the relevant Project Agreement(s). Sub-paragraphs (a) and (b) shall not apply to the Local Authority to the extent it is exercising its functions as a Local Planning Authority or Highways Authority. If a New Project receives Stage 2 Approval, the parties shall use reasonable endeavours to complete the necessary Project Agreements as soon as practicable and in any event by not later than the longstop date agreed as part of the Stage 2 Approval. Failure to reach such longstop date: in circumstances where the LEP is in material breach of its obligations under this Agreement (including Schedule 12 (LEP Partnering Proposals)) shall entitle the Local Authority to deem the Stage 2 Approved Project as not having had Stage 2 Approval and the Stage 2 Submission for that New Project as having been properly rejected; in circumstances other than those in sub-paragraph (a) then the LEP shall be entitled to reimbursement of the Incurred Project Management Fee from the Local Authority (the Calculation Date for such purposes shall be the date of the claim made by the LEP of its Incurred Project Management Fee pursuant to this ...
