The Availability Forecasts clause requires one party to provide advance estimates of the availability of certain goods, services, or resources over a specified period. Typically, this involves regular reporting or updates on expected supply levels, such as a manufacturer informing a distributor about upcoming product quantities. By establishing a process for sharing availability information, this clause helps both parties plan effectively, manage expectations, and reduce the risk of supply shortages or overcommitments.
Availability Forecasts. By no later than 5:00 a.m. CPT of each Day, QF shall provide, in a format reasonably acceptable to Alabama Power, a non-binding forecast of energy to be delivered under this Agreement for the next Day and each of the next seven (7) Days. Each such notice shall clearly identify, for each Hour, QF’s forecast of all amounts of available energy to be delivered pursuant to this Agreement. In the event that QF foresees that actual deliveries under this Agreement for any Day will be materially different than a forecast previously provided for such Day, QF shall, as soon as reasonably possible, provide notice to Alabama Power of such change and an updated forecast.
Availability Forecasts. Not later than not later than the next Business Day after the first (1st) and the fifteenth (15th) days of each fiscal month, a forecast of availability under the Revolving Credit Facility Commitment for the immediately following four (4) week period, in form, scope and substance reasonably satisfactory to the Agent;
Availability Forecasts. Seller shall provide Buyer with non-binding forecasts of the delivery of energy under this Agreement as described below. Such availability forecasts shall include the updated status of all equipment that may impact availability (including, but not limited to, solar photovoltaic panels, inverters, and transformers, etc.). Seller shall use commercially reasonable efforts to forecast the delivery of energy under this Agreement accurately and to transmit such information in a format reasonably acceptable to Buyer. Buyer and Seller shall agree upon reasonable changes to the requirements and procedures set forth below from time-to-time, as necessary to accommodate changes to operating and scheduling procedures of Buyer.‌ 4.7.1 By no later than: (i) the September 1 that is prior to the calendar year in which the Commercial Operation Date will occur; and (ii) September 1 that is prior to each calendar year thereafter, Seller shall provide to Buyer a non-binding forecast of the Hourly delivery of energy under this Agreement for an average Day in each Month of the following calendar year in a form reasonably acceptable to Buyer. 4.7.2 By no later than ten (10) Business Days before the commencement of the Service Term, and thereafter ten (10) Business Days before the beginning of each Month during the Service Term, Seller shall provide to Buyer a non-binding forecast of the Hourly energy deliveries under this Agreement for each day of the following Month in a form reasonably acceptable to Buyer. 4.7.3 By no later than 5:00 a.m. CPT of each Day, Seller shall provide Buyer a non-binding forecast of energy to be delivered under this Agreement for the next Day and each of the next seven (7) Days. Each such notice shall clearly identify, for each Hour, Seller’s forecast of all amounts of available energy to be delivered pursuant to this Agreement. In the event that Seller foresees that actual deliveries under this Agreement for any Day will be materially different than a forecast previously provided for such Day, Seller shall, as soon as reasonably possible, provide notice to Buyer of such change and an updated forecast.
Availability Forecasts. On or before October 1 of each Contract Year, Seller shall provide to Buyer a good faith estimate of the availability of the Project for each hour of the next Contract Year. On or before the twentieth (20th) day of each Month, Seller shall provide an updated good faith estimate of the availability of the Project for each hour of the next Month. By such time as mutually agreed to by the Parties on the Business Day immediately preceding the day on which the Net Electric Energy is to be delivered, Seller shall provide Buyer with an updated good faith estimate of the availability of the Project for each hour of the next day; provided, however, that a forecast provided on a day before any non-Business Day shall include forecasts for each day to and including the next Business Day. Seller shall provide Buyer with a good faith estimate of the updated expected hourly availability for the Project for each hour of the day on which Net Electric Energy is to be delivered one hour prior to the hour in which Net Electric Energy is to be delivered. The Parties shall cooperate to implement and use automatic availability updates.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.

  • EPP service availability Refers to the ability of the TLD EPP servers as a group, to respond to commands from the Registry accredited Registrars, who already have credentials to the servers. The response shall include appropriate data from the Registry System. An EPP command with “EPP command RTT” 5 times higher than the corresponding SLR will be considered as unanswered. If 51% or more of the EPP testing probes see the EPP service as unavailable during a given time, the EPP service will be considered unavailable.

  • Product Availability Under no circumstances shall Company be responsible to Representative or anyone else for its failure to fill accepted orders, or for its delay in filling accepted orders, when such failure or delay is due to strike, accident, labor trouble, acts of nature, freight embargo, war, civil disturbance, vendor problems or any cause beyond Company's reasonable control.

  • Rolling Forecasts The Client shall provide Patheon with a written non-binding [ * ] forecast of the volume of each Product that the Client then anticipates will be required to be produced and delivered to the Client during each [ * ] of that [ * ] period.   • DNS service availability Refers to the ability of the group of listed-­‐as-­‐authoritative name servers of a particular domain name (e.g., a TLD), to answer DNS queries from DNS probes. For the service to be considered available at a particular moment, at least, two of the delegated name servers registered in the DNS must have successful results from “DNS tests” to each of their public-­‐DNS registered “IP addresses” to which the name server resolves. If 51% or more of the DNS testing probes see the service as unavailable during a given time, the DNS service will be considered unavailable.
