The Board Certification clause establishes a requirement that certain professionals or service providers must hold a valid certification from a recognized board in their field. In practice, this means that individuals such as doctors, engineers, or other specialists must demonstrate their qualifications by obtaining and maintaining certification from an official governing body relevant to their profession. This clause ensures that only properly credentialed individuals perform specific duties, thereby safeguarding quality standards and reducing the risk of unqualified service.

Board Certification. Prior to entering into any agreement contemplating a transaction described in clause (z) (including transactions described in clause (y) and (z)) of Section 4(c) (expressly excluding for this purpose transactions described in clause (x) of Section 4(c)) and prior to consummating any such transaction, the following conditions are satisfied: (A) following the transaction at issue, one or more Persons will not have acquired, and will not have the right to acquire, directly or indirectly, more than 40% (by vote or value) of the outstanding Equity Securities of SpinCo (determined immediately following such transaction) taking into account all relevant issuances, redemptions or other acquisitions of (and agreements to issue, redeem or otherwise acquire) Equity Securities (and assuming the exercise or conversion of all such Equity Securities (if such Equity Securities are options or warrants or similar exercisable or convertible securities) and the closing of all such agreements) from the point in time two years prior to the External Spin-Off to the date immediately following such transaction and pursuant to any other transaction which is part of a plan or series of related transactions (within the meaning of Section 355(e) of the Code) that includes the External Spin-Off, (B) SpinCo will be the surviving entity if such transaction is a merger (and the transaction is not a reverse subsidiary merger in which SpinCo is the surviving entity) and (C) prior to entering into any agreement contemplating a transaction described in clause (z) (including transactions described in clause (y) and (z)) of this Section 4(c) and prior to consummating any such transaction, SpinCo delivers to Parent a Board Certification.

An employee in Classes 4162 – Medical Consultant (PR), 4184 – Radiologist (PR), 4185 – Pediatrician (PR), 4192 – Senior Physician (PR), 4193 – Physician (PR), 4196 – Psychiatrist (PR), 4198 – Psychiatric Resident (PR) or 4199 – Psychiatrist Specialist (PR) shall be paid at a rate approximately ten percent (10%) higher than prescribed for his/her class upon furnishing satisfactory evidence that he/she has earned a valid certificate issued by the American Board in the medical specialty determined by the Director to be especially suited to the position he/she holds.
Board Certification. Non-ECC Attending Physicians, including all Hospitalists All Attending Physicians in the bargaining unit except those assigned to the Emergency Care Center shall receive an annual supplement of $4,000.00 for the maintenance of a current board certification. In the event of a qualifying second board certification, the Attending Physician shall receive an additional annual supplement of $1,000.00. In order to qualify, the following guidelines must be met:
A. All board certifications shall be in an area of practice as designated by the American Board of Medical Specialties or the Board of Osteopathic Physicians, and shall be relevant to the area of current assignment of the Attending Physician.
B. All board certifications shall be currently maintained, with the Attending Physician being responsible for attaining re-certification at the American Board of Medical Specialties or the Board of Osteopathic Physicians prescribed intervals.
Board Certification. The specific Graduate Medical Education Residency Program to which Resident is appointed will provide information to the Resident regarding his/her eligibility for certification with the relevant certifying board.
Board Certification. The PHT will reimburse residents and fellows for the cost of specialty board certification for residents and fellows who will continue to be employed by the PHT in the academic year following the reimbursement.

In addition House Officer agrees to comply with any and all University policies or procedures as are from time to time adopted, authorized and approved by University.
