Continuing Submission Sample Clauses

The Continuing Submission clause requires a party to provide ongoing information or documentation to the other party throughout the duration of an agreement. In practice, this may involve regularly updating financial statements, compliance certificates, or other relevant records as circumstances change or at specified intervals. This clause ensures that both parties remain informed about key developments, reducing the risk of misunderstandings or breaches due to outdated or incomplete information.
Continuing Submission. Once Furnisher has completed the Initial Load in accordance with the Submission Instructions, Furnisher shall be permitted to submit Data in any manner permitted in the Submission Instructions provided that such Data is submitted at least . Upon Furnisher’s submission of additional Data, Data submitted will be screened by Fides for compliance with the Minimum Reliability Standards. Any Data which does not satisfy the Minimum Reliability Standards will be placed in Furnisher’s Fides Data Queue for review, modification and/or correction and resubmission by Furnisher.

  • Continuing Cooperation Following the Termination Date, Executive agrees to cooperate with all reasonable requests for information made by or on behalf of Company with respect to the operations, practices and policies of the Company. In connection with any such requests, the Company shall reimburse Executive for all out-of-pocket expenses reasonably and necessarily incurred in responding to such request(s).

  • Resignation and Cooperation Upon termination of Executive’s employment, Executive shall be deemed to have resigned from all offices and directorships then held with the Company. Following any termination of employment, Executive shall cooperate with the Company in the winding up of pending work on behalf of the Company and the orderly transfer of work to other employees. Executive shall also cooperate with the Company in the defense of any action brought by any third party against the Company that relates to Executive’s employment by the Company.

  • Post-Termination Cooperation Following any termination of this Agreement, all Parties shall thereafter cooperate fully and work diligently in good faith to achieve an orderly resolution of all matters resulting from such termination.

  • Covenant Not to Solicit Employees The Executive agrees not to, directly or indirectly, solicit or employ the services of any officer or employee of the Bank (including an individual who was an officer or employee of the Bank during the one year period following the Executive’s termination) for one year after the Executive’s employment termination.

  • Replacement of Key Personnel The Engineer must notify the State in writing as soon as possible, but no later than three business days after a project manager or other key personnel is removed from association with this contract, giving the reason for removal.
