Delivery of the System. 3.1 The System will be delivered to the Site once the Site is deemed suitable (by us alone in our sole discretion) to receive the System. 3.2 Any dates quoted for delivery of the System are approximate only and we shall not be liable to you for any delay in delivery of the System howsoever caused. Time for delivery shall not be of the essence of the Client Agreement. 3.3 If you fail to take delivery of the System or the Site is deemed by us not suitable to receive the System when they are ready for delivery then, without prejudice to any other right or remedy available to us, we may either: (i) cancel the Client Agreement with immediate effect, in which case you shall indemnify us (on demand) in full against all loss (including loss of profit), costs (including costs of all labour and materials used and/or System(s) ordered), damages, charges, and expenses incurred by us as a result of cancellation; or (ii) store the System until actual delivery and charge you for the reasonable costs of storage (it will be your responsibility to insure the System in this circumstance). 3.4 We reserve the right to use subcontractors or agents and/or to assign any and/or all of our rights and obligations under the Client Agreement to a third party.

Delivery of the System. GTS agrees to deliver a complete copy of the System and the other Licensed Products.. As part of its delivery of the System, GTS will (subject to Paragraph 6. 1.1) provide all necessary software including but not limited to an .exe file or other components or similar for installation by the Ouray County IT Department, in order for the Ouray County IT Department to install the System on any computer in the offices of the PT on which the PT desires to have the System and provide User IDs to Authorized Users on an as-needed basis. GTS may refuse to provide a User ID to an Authorized User until it receives all correct User Information for such Authorized User.

Delivery of the System. The Supplier undertakes to: complete the Work at its own costs and risk in accordance herewith and the annexes hereto, with the instructions of the Customer's authorized employees that are not contrary to this Agreement or exceeding obligations of Supplier under this Agreement and to remove all Defects rebuked in the course of Handover.

Delivery of the System. Supplier shall have the equipment ready to ship at the time agreed upon with the successful bidder and delivery of the UV System shall be coordinated between Supplier and the City's contractor so as to avoid storage and re-shipping of the UV System.
