Designation of Personnel. Subject to Section 2.1(b), a Service Provider shall have the right, in its sole and absolute discretion, to designate which personnel shall be assigned to perform the Transition Services, and shall have the right, in its sole and absolute discretion, to remove and replace any such personnel at any time and/or designate a Third Party Service Provider in accordance with the terms hereof, to perform such Transition Service.

Designation of Personnel. The Board and the City shall each designate in writing a staff member with whom the other party, or any authorized agent of the party, may confer regarding the terms of this Agreement or the Attachment.

Designation of Personnel. 1. Each State Party shall, at the same time that it deposits its instrument of ratification to either of the Depositaries, provide to all other States Parties, for their review, a list of designated personnel who will carry out all duties relating to the conduct of observation flights for that State Party, including monitoring the processing of the sensor output. No such list of designated personnel shall include more than 400 individuals at any time. It shall contain the name, gender, date of birth, place of birth, passport number, and function for each individual included. Each State Party shall have the right to amend its list of designated personnel until 30 days after entry into force of this Treaty and once every six months thereafter. 2. In the event that any individual included on the original or any amended list is unacceptable to a State Party reviewing the list, that State Party shall, no later than 30 days after receipt of each list, notify the State Party providing that list that such individual shall not be accepted with respect to the objecting State Party. Individuals not declared unacceptable within that 30-day period shall be deemed accepted. In the event that a State Party subsequently determines that an individual is unacceptable, that State Party shall so notify the State Party that designated such individual. Individuals who are declared unacceptable shall be removed from the list previously submitted to the objecting State Party. 3. The observed Party shall provide visas and any other documents as required to ensure that each accepted individual may enter and remain on the territory of that State Party for the purpose of carrying out duties relating to the conduct of observation flights, including monitoring the processing of the sensor output. Such visas and any other necessary documents shall be provided either: (A) no later than 30 days after the individual is deemed to be accepted, in which case the visa shall be valid for a period of no less than 24 months; or (B) no later than one hour after the arrival of the individual at the point of entry, in which case the visa shall be valid for the duration of that individual's duties; or (C) at any other time, by mutual agreement of the States Parties involved.

Designation of Personnel. Each Service Provider shall have the right, in its reasonable discretion, to designate which personnel shall be assigned to perform the Transition Services, and shall have the right, in its reasonable discretion, to remove and replace any such personnel at any time and/or designate a Third Party Service Provider in accordance with the terms hereof, to perform such Transition Service; provided, Purchaser shall seek, consistent with the requirements of its own business, to afford Sellers (as reasonably necessary or requested for a proper purpose) the benefit of the background, skill, experience, expertise, information and institutional knowledge of the employees of Purchaser who have historically performed the services and support functions underlying the Transition Services.

Designation of Personnel. Each Party shall have the right, in its sole discretion, to (i) designate which personnel it will assign to perform any Service and (ii) remove and replace such personnel at any time, except that in the case of each of clause (i) and (ii), each Party shall use commercially reasonable efforts to not remove, replace or otherwise allocate any such personnel in a manner that would adversely affect its ability to perform its obligations under this Agreement or any SOW in accordance with the Services Standard.

Designation of Personnel. Each of the Contractor Personnel is designated in, and shall have the functions assigned to him or her as set forth in the bidder's proposal, which may be modified from time to time in accordance with this Agreement and shall be deemed modified upon: (1) DSHS’ designation in writing of acceptance of additional or replacement of Contractor Personnel (2) Any approved replacement or substitution of a new person for any Contractor Personnel by both Parties

Designation of Personnel. 12.1 Each Party designates for its performance the personnel necessary for the proper execution of the tasks devolving upon it. In the event of the personnel being designated by name in this Agreement, each Party shall have the right, with the prior approval of the other Party to replace them by others possessing equivalent qualifications.

Designation of Personnel. Each of the personnel is designated in, and shall have the functions assigned to him or her as set forth in Exhibit C, Statement of Work which may be modified from time to time in accordance with this Agreement and in compliance with the following: (1) Contractor will not replace or add new Personnel without prior written approval from DSHS (2) The assignment, hiring or designation of any person to fill the position or perform the duties provided by any Personnel must be done pursuant to Exhibit C, Statement of Work.

Designation of Personnel. Subject to (a) the other provisions of this Agreement, and (b) each Service Provider’s obligation to use substantially the same degree of care (but at least reasonable care) in selecting each such personnel or Third Party Service Provider as it would if such Person was being retained to provide similar services to such Service Provider, each Service Provider shall have the right, in its reasonable discretion, to designate which personnel shall be assigned to perform the Services, and shall have the right, in its reasonable discretion, to remove and replace any such personnel at any time and/or designate a Third Party Service Provider. Nothing in this Agreement shall be deemed to create an employment relationship between Service Recipient and the employees and/or agents of Service Provider who perform the Services pursuant to this Agreement, or make Service Recipient and Service Provider joint employers thereof. Service Provider shall have the sole responsibility for the day-to-day control and supervision of the individuals it employs in connection with this Agreement. Service Provider retains any and all liability with respect to the actions, activities and conduct of such individuals in full (including any employment- related claims, litigation or other assertions of liability or responsibility).
