The Direct Support clause establishes the obligation of one party to provide immediate assistance or resources to another party as specified in the agreement. This may include technical help, customer service, or operational support, and typically outlines the scope, response times, and methods of delivering such support. Its core practical function is to ensure that the receiving party has reliable access to necessary help, thereby minimizing disruptions and maintaining smooth operations.
Direct Support. Only you may contact us directly if you are experiencing any problems with the Services. Under no circumstances must you encourage any of your customers to contact us directly, and we will not be responsible for accepting any such contacts.
Direct Support. Vendor shall provide the following Software support to the City during the term of this Agreement: (i) advice by telephone or e-mail on the use of the Software without any limit on the amount of incident reports as follows: (1) an emergency contact number and e-mail address available 24/7/365 for serious Software or Service performance issues; (2) for less serious issues, by phone from Monday to Saturday inclusive from 9:00 a.m. to 5:00 p.m. Pacific Standard Time; (ii) the dispatch out by email or mail of fix announcements to the Software, information regarding forthcoming new releases and technical newsletters; (iii) the creation and upload to the Software, from time to time, of patches and fixes in respect of the Software; (iv) the diagnosis of errors in the Software and the rectification of such errors (remotely or by attendance on site as determined by Vendor) by the issue of fixes in respect of the Software and the making of all consequential amendments (if any) to the Documentation; (v) any other support service offered to the City from time to time; and (vi) the issue of new releases of Software.
Direct Support. The District Board of Trustees may establish an annual service fee to support Foundation functions, upon the recommendation of the Superintendent/President throughPresident through the District’s Adopted Budget. The annual service fee may include a base service support amount and any additional amounts designated for unrestricted or restricted purposes within the authorized functions of the Foundation. The approved annual fee, if any, shall be distributed on either a monthly or quarterly basis as mutually determined by the Parties.

In 2016 and 2017, the City will provide by July 1 of the year preceding the applicable year the preliminary estimate of funding to be provided, based on the estimated assessed valuation provided by the County Clerk. These amounts will be finalized as soon as possible before the beginning of the succeeding year, but not until the County Clerk provides the City the final amount of assessed valuation, which typically occurs annually on or before November 20. The parties understand this section to be an express modification on the financial obligations created in the January 6, 1998, Agreement, and any supplemental agreement between the parties.

  • STUDENT SUPPORT SERVICES The Parties will identify and collaborate on measures to assist those students who may not be performing satisfactorily to succeed. The School will seek guidance from the College designee(s) in the areas of test preparation, tutoring, College Connection services, academic advising, and the development of an integrated support system for Students across the two institutions. Students will have access to the same or similar tutoring and other academic support as provided for other students in the School District, School and College. To promote academic success, the Parties will provide academic support services as may be needed. The School counselor and its designee will work to ensure Students receive pertinent information regarding higher education, financial assistance, and assistance waivers for tuition and fees. As needed, each Party will assist families as they complete initial application and admission requirements per the respective organizations’ processes. The School District will be responsible for non-academic counseling services and the College is authorized, but not required, to provide emergency counseling intervention services. See section 4 – Disability Support Services.

  • Customer Support If Customer is entitled to receive Customer Support as part of a separately purchased Service Plan, Sage warrants that while Customer’s Service Plan is in effect and if it has paid all required Service Plan fees, Sage will use qualified personnel to provide Customer Support in a professional manner consistent with industry standards. Customer’s sole remedy under this section 5.2 is limited to Sage’s re-performance of the Customer Support services giving rise to Customer’s claim.

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard.
