End User License Agreements. The Licensed software may incorporate software under license from a third party. If the third party requires Client’s notification of such use through an End User License Agreement (▇▇▇▇), UA will provide such notification to the Client. In order to use the Service, the Client agrees to be bound by all ▇▇▇▇(s) provided at the time of delivery whether by hardcopy or displayed upon Installation or use of the Service. Client’s use of the Service subsequent to such notice(s) shall constitute Client’s acceptance of the ▇▇▇▇(s).
End User License Agreements. 6.1 All copies of the Software sold by the Distributor directly to end users or indirectly to end users through resellers shall be subject to the software license agreement provided by Sideware to the Distributor from time to time, including any modifications or amendments thereof (the "Software License Agreement"). You also will continue to pay us for Services during any such impairment or Service suspension. CenturyLink and our software vendors and licensors have no liability if changes in Services or Equipment causes any of equipment or software you have provided to become obsolete, require alteration, or perform at lower levels. If any required or necessary software for the Services or Equipment is not accompanied by a software end user license agreement, CenturyLink grants you a limited, personal, revocable, nonexclusive, nontransferable, non-assignable license to install and use such software only for purposes in association with Services or Equipment, as applicable, and such license extends only to Subscriber’s own use of such software. Software may be used in the United States only, and any export of the software is strictly prohibited.

End User License Agreements a. The licence granted to the Client in respect of any Third-Party Software is as set out in the relevant End User Licence Agreement (▇▇▇▇). The Client’s right to use the Third-Party Software is as set out in the ▇▇▇▇ and use by the Client of the Third-Party Software is subject to compliance by the Client with the terms of the ▇▇▇▇. In the event of any breach by the Client of the relevant ▇▇▇▇, the Third-Party Supplier may terminate the licence granted to the Client and the Client shall indemnify GTT in full in respect of any and all Claims arising in connection with such breach. Such termination shall be without prejudice to the Client’s obligation to make payment of any charges due in respect of the Third-Party Software, any associated Third-Party Support and all other Services contracted hereunder for the remainder of the term of that licence.
b. GTT’s sole Liability in respect of any Third-Party Software shall be to make the same available to the Client in the form provided by the relevant Third-Party Supplier on and subject to the terms of the applicable ▇▇▇▇. GTT neither makes nor gives any representation or warranty in respect of the functionality or performance of the Third-Party Software and the Client shall hold GTT harmless in respect of any Claims to the contrary. Save as otherwise expressly provided in the relevant Service Description, in the event of any fault or defect in the Third-Party Software, the Client shall be entitled to the support set out in the ▇▇▇▇ and GTT shall have no Liability in respect of such fault or defect, it being acknowledged that support and maintenance of Third- Party Software may be subject to the payment of additional charges by the Client.
c. Any indemnity offered by the Third-Party Supplier to the Client in respect of a breach by Third Party Software of Intellectual Property Rights is set out in the ▇▇▇▇. GTT shall have no Liability to the Client and offers no indemnity in respect of Third-Party Software.
End User License Agreements. To utilize certain features of the Service, Customer and its End Users must agree to applicable software license agreements governing such software from CenturyLink’s software vendors. If Customer or its End Users decline, they will not be able to use the applicable features of the Service. All software license agreements are between Customer (including its End Users) and CenturyLink’s software vendors. CenturyLink has no obligations or responsibility for such software. Customer’s sole rights and obligations related to such software, in any way, are governed by the terms of the software license agreements with CenturyLink’s vendors. Notwithstanding any provisions in a third-party provider’s end user license agreement, if Customer or its End Users use the third-party software with CenturyLink’s Managed Office Essentials Service, the Service will permit 911 calling with the software, provided Customer and its End Users expressly follow the instructions for 911 calling found in this Service Exhibit and in the 911 advisory for the Service. In part, those instructions state that a Customer End User must not use the third-party software client to dial 911 except from that End User’s registered physical location. Use at a location other than the registered physical location may route 911 calls to an incorrect 911 dispatch center, potentially delaying emergency services. CenturyLink strongly recommends Customer and its End Users become familiar with all of the functional limitations described in this Service Exhibit and the CenturyLink Hosted VoIP 911 advisory. End User License Agreements. (a) Any use of the Licensed Software by End Users must be subject to a binding End User License Agreement which is consistent with and no less protective of PlaceWare’s Intellectual Property Rights than the terms of this Agreement and either: (a) for any ▇▇▇▇ first effective prior to the Effective Date of this Agreement, also incorporates the minimum end user terms set forth in Exhibit D of the Prior Agreement ; or (b) for any ▇▇▇▇ first effective after the Effective Date of this Agreement, also incorporates the minimum end user terms set forth in Exhibit D hereto. An End User License Agreement may be in the form of a “shrink-wrap” or electronic “click-through” agreement only if the End User is required to take an affirmative act that manifests the End User’s intent and agreement to abide by the terms of the ▇▇▇▇. (b) Company will enforce each ▇▇▇▇ with at least the same degree of diligence that Company uses to enforce similar agreements for its own products or other software products that it distributes, but in no event shall Company deploy less than reasonable efforts. Company will immediately notify PlaceWare if Company becomes aware of any breach of any EUA relating to LaunchPad, InfoWorksSpace, or the Licensed Software. Upon the termination of any ▇▇▇▇, Company will use reasonable efforts to ensure that End User has deleted and/or returned all copies of LaunchPad, InfoWorksSpace, or the Licensed Software and User Documentation in such End User’s possession or control to PlaceWare.
(c) Unless otherwise specifically agreed by Company and PlaceWare with respect to a particular End User, in a written agreement executed by both parties, the duration of the term of all End User License Agreements must not exceed one (1) year and may not be automatically renewable.
