Engine Power. 4.2.1 The manufacturer or his duly accredited representative may request that measurement only of engine power be performed. In this case: 4.2.1.1 The manufacturer shall complete annex 1 to this Regulation with the information specially related to power measurement i.e. all points not preceded by the letter E, 4.2.1.2 An engine corresponding in all aspects to the description report in that annex 1 shall be submitted to the technical service for tests described in annex 10 to this Regulation. Engine Power. The basis of specific emissions measurement is uncorrected power as defined in ECE Regulation No. 85. Certain auxiliaries, which are only necessary only for the operation of the vehicle and which may be mounted on the engine should be removed for the test. The following incomplete list is given as an example: (a) air compressor for brakes (b) power steering compressor (c) air conditioning compressor (d) pumps for hydraulic actuators Where auxiliaries have not been removed, the power absorbed by them shall be determined in order to adjust the set values and to calculate the work produced by the engine over the test cycle.

  • Corporate Power The Company has all requisite corporate power to execute and deliver this Agreement and to carry out and perform its obligations under the terms of this Agreement.

  • Variance Power The Fund is protected from obsolescence. If, in the sole judgment of the Board of Directors of the Foundation, the purposes for which the Fund was created ever become unnecessary, incapable of fulfillment, or inconsistent with the charitable needs of the community served by the Foundation, the Foundation’s Board of Directors shall modify any restriction or condition on the use or distribution of the income and principal of the Fund.

  • Police Powers The Grantee agrees to comply with the terms of any lawfully adopted generally applicable local ordinance necessary to the safety, health, and welfare of the public, to the extent that the provisions of the ordinance do not have the effect of limiting the benefits or expanding the obligations of the Grantee that are granted by this Franchise. This Franchise is a contract and except as to those changes which are the result of the Grantor’s lawful exercise of its general police power, the Grantor may not take any unilateral action which materially changes the mutual promises in this contract.

  • Existence; Power The Borrower and each of its Subsidiaries (i) is duly organized, validly existing and in good standing as a corporation, partnership or limited liability company under the laws of the jurisdiction of its organization, (ii) has all requisite power and authority to carry on its business as now conducted, and (iii) is duly qualified to do business, and is in good standing, in each jurisdiction where such qualification is required, except where a failure to be so qualified could not reasonably be expected to result in a Material Adverse Effect.

Upon their execution and delivery, this Subscription Agreement and other agreements required hereunder will be valid and binding obligations of Subscriber, enforceable in accordance with their terms, except (a) as limited by applicable bankruptcy, insolvency, reorganization, moratorium or other laws of general application affecting enforcement of creditors’ rights and (b) as limited by general principles of equity that restrict the availability of equitable remedies.
