The 'Further Support' clause obligates one or both parties to provide additional assistance or cooperation as reasonably required to fulfill the agreement's objectives. Further Support. The Processor shall support the Controller in ensuring compliance with the obligations related to the data processing by the Processor. In particular, the Processor shall:
3.9.1 provide the Controller all information on data processing by the Processor that the Controller requests in order to comply with its reporting and/or documentation duties in accordance with the Legal Provisions (in particular, the records of processing activities and the privacy impact assessment);
3.9.2 support the Controller in preparing and providing information following a request of a governmental agency or a data subject in accordance with the Legal Provisions;
3.9.3 inform the Controller of any incidents of serious disruption to operations, any suspicion of data protection violations and other irregularities in relation to the processing of the Data without undue delay. The Processor shall document the relevant events in sufficient detail to enable the Controller to report about them to the supervisory authority. On request, the Processor shall support the Controller in notifying data subjects and the supervisory authority.
Further Support. Prior to the Termination Date, each Holder shall not take or agree or commit to take any action that would make any representation and warranty of such Holder contained in this Agreement inaccurate in any material respect. Each Holder shall execute and deliver all related documentation and further use commercially reasonable efforts to take such other action to cooperate with the Company to effect the Mergers, the Business Combination Agreement, and the Transaction Matters. Prior to the Termination Date, each Holder shall not authorize or permit any of its representatives to, directly or indirectly, take any action that the Company are prohibited from taking pursuant to the Business Combination Agreement (unless Parent shall have consented thereto).

Further Support. If Licensee provides University with written notification that it will no longer support the filing, prosecution, or maintenance of a specified patent(s) and/or patent application(s) within the Patent Rights, then Licensee's responsibility for Patent Costs related to the filing, prosecution, and maintenance of such subject Patent Rights will terminate thirty (30) days after University’s receipt of such written notification; provided, however, in such instances, thirty (30) days after University’s receipt of written notification, such patents and/or patent applications will no longer be included in the Licensed Patents (and Schedule A is deemed to be so amended accordingly), and Licensee surrenders all rights under this Agreement to such patents, patent applications, and any patents issuing therefrom (“Surrendered Patent Rights”). University may elect to continue prosecution and maintenance of such Surrendered Patent Rights, at its sole cost, but agrees to not take any action that is materially inconsistent with any actions taken by Licensee with respect to the Patent Rights.
